Certificate Under Section 78 of the Companies Act 1955

I, Brian Cameron McLay, District Registrar of Companies at Napier, hereby certify that on the 4th day of April 1968 in pursuance of section 78 of the Companies Act 1955 there was registered,

1. An order of the Supreme Court confirming the reduction of paid up capital of Mineral Additives Ltd. (H.B. 1967/132) resolved in the special resolution passed at the meeting of the company held on the 17th day of August 1967.

2. The following minute approved by the Court showing the amount of capital of the company:

“The amount of the share capital of Mineral Additives Ltd. as altered by an order of the Supreme Court of New Zealand dated the 15th day of March 1968 confirming the reduction of the share capital is eighteen thousand dollars ($18,000.00) divided into eighteen thousand (18,000) shares of one dollar ($1.00) each and at the date of registration of this minute the amount of one dollar ($1.00) is deemed to be paid up on each share except those numbered 8201 to 9000 (inclusive) upon which no capital has been paid and those numbered 2601 to 2700 (inclusive) upon which the sum of one hundred and twenty-nine dollars ninety-eight cents ($129.98) only has been paid”.

IN THE MATTER of the Companies Act 1955 AND IN THE MATTER OF GUTHRIE AND NORTON LTD., a private limited liability company having its registered office in the City of Auckland and carrying on business as an importer.

NOTICE IS HEREBY GIVEN that the order of the Supreme Court of New Zealand, Auckland, dated the 22nd day of March 1968, confirming the resolution reducing the company’s issued capital from $70,000 to $3,500 and the minute approved by the Court showing with respect to the capital of the company as so altered the several particulars required by the above-mentioned Act, was registered by the District Registrar of Companies at Auckland on the 26th day of April 1968. The said minute is in the words and figures following:

“The capital of Guthrie and Norton Ltd. is $3,500 divided into 1,000 fully paid up “A” preference shares of ten cents each and 34,000 fully paid up “B” ordinary shares of ten cents each having been reduced from $70,000 divided into 1,000 fully paid up “A” preference shares of $2 each and 34,000 fully paid up “B” ordinary shares of $2 each.”
