Notice is hereby given that, at an extraordinary general meeting of the above-named company, convened and held on the 2nd day of July 1965, the following special resolutions were duly passed:
“(a) That the company be wound up voluntarily and that Messrs Edward William Patrick Long and William Richard Onslow Spooner be and they are hereby appointed liquidators of the company.
“(b) That the liquidators be hereby authorised to carry into effect the merger agreement entered into with Kiwi Co-operative Dairies Ltd., bearing date the 14th day of May 1965 and in particular in pursuance of section 278 of the Companies Act 1955, to transfer the whole undertaking and property of this company to Kiwi Co-operative Dairies Ltd., receiving as consideration therefore one share in Kiwi Co-operative Dairies Ltd., for each share issued in this company, such shares to be distributed among the shareholders of this company in terms of the said agreement.”
