NOTICE OF RESOLUTION FOR VOLUNTARY WINDING UP

In the matter of the Companies Act 1955 and in the matter of Miles Constructing Co. Ltd. (in receivership).

NOTICE is hereby given, pursuant to section 362 (1) of the Companies Act 1955, that it was resolved by an extraordinary resolution passed on the 23rd day of September 1959, signed for the purpose of becoming an entry in the minute book of the company:

“That the company cannot, by reason of its liabilities, continue in business and that it is advisable to wind up and that the company be wound up voluntarily.”

At a meeting of creditors of the company held on the 2nd day of October 1959, the above resolution was confirmed by the creditors who appointed Graham William Valentine, public accountant, of Wellington, as liquidator of the company, pursuant to section 285 of the Companies Act 1955.

Notice of Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955 and in the matter of Miles Constructing Co. Ltd. (in receivership).

Proof of debt forms are at present being circulated to all known creditors of the above-named company.

Notice is hereby given that I fix the 9th day of November 1959 on or before which the creditors of the company must prove their debts or claims and establish any title they may have to priority under section 308 of the Companies Act 1955. If any creditor does not prove by the date set out above he may be excluded from the benefit of any distribution made before his debt is proved or from objecting to any distribution.

NOTICE is hereby given that, at an extraordinary general meeting of the company duly convened and held on 14 October 1959, the following special resolution was passed:

“That the Otara Cooperative Dairy Factory Co. Ltd. be wound up voluntarily and that David Russell Campbell, public accountant, of Invercargill, be and he is hereby appointed liquidator for the purpose of such winding up.”

In the matter of the Companies Act 1955 and in the matter of Otara Cooperative Dairy Factory Co. Ltd. (in liquidation).

NOTICE is hereby given that the undersigned, the liquidator of Otara Cooperative Dairy Factory Co. Ltd., which is being wound up voluntarily, does hereby fix the 16th day of November 1959 as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

NOTICE is hereby given that, by duly signed entry in the minute book of the above-named company on the 16th day of October 1959, the following extraordinary resolution was passed by the company, namely:

“That the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily, and that C. A. Petrie be and is hereby nominated as liquidator of the company.”

NOTICE TO CREDITORS

In the matter of the Companies Act 1955 and in the matter of Whiteleigh Manufacturing Co. Ltd.

NOTICE is hereby given that, by an entry in its minute book signed in accordance with section 326 (1) of the Companies Act 1955, the above-named company on the 16th day of October 1959 passed a resolution for voluntary winding up and that a meeting of the creditors of the above-named company will accordingly be held at the offices of Miller, Gale, and Winter, 116 Lichfield Street, Christchurch, at 3 p.m., on Tuesday, the 27th day of October 1959.

Business

(1) Consideration of a statement of the position of the company’s affairs and list of creditors and their claims.

(2) Nomination of liquidator.

(3) Appointment of committee of inspection if thought fit.

A creditor may vote in person or by proxy. All proxies must be lodged at the offices of Messrs Miller, Gale, and Winter, Public Accountants, 116 Lichfield Street, Christchurch, not later than 4 p.m., on Friday, the 23rd day of October 1959. Forms of general and special proxies are enclosed.

PETITION FOR WINDING UP

In the matter of the Companies Act 1955 and in the matter of Harris Delicatessen Ltd., a duly incorporated company having its registered office at the offices of Armstrong, Riesterer, Beattie, and Smart, Public Accountants, Commercial Bank of Australia Buildings, Victoria Street, Hamilton, and carrying on the business of Purveyors of Food.

NOTICE is hereby given that a petition for the winding up of the above-named company by the Supreme Court was, on the 7th day of September 1959, presented to the said Court by Newton Meat Co. Ltd., of Auckland, Meat Packers and Canners, and that the said petition is directed to be heard before the Court sitting at Hamilton on Friday, the 20th day of November 1959, at 10 a.m.; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished to any creditor or contributory of the said company requiring the same by the undersigned on payment of the regulated charge for same.
