Notice of General Meeting
NOTICE is hereby given, in pursuance of section 291 of the Companies Act 1955, that a general meeting of the above-named company will be held at the office of Hackworth, Gillick, and Hercus, public accountants, 29 Esk Street, Invercargill, on Thursday, 9 October 1958, at 2 p.m., and a creditors’ meeting will be held at the same place and at the same time for the purpose of having an account laid before the meetings showing the manner in which the winding up has been conducted and the properties of the company disposed of, and of hearing any explanations that may be given by the liquidator and also determining, by extraordinary resolution, the manner in which the books, accounts, and documents shall be disposed of.

In the matter of the Companies Act 1955 and in the matter of St. Aubyn Ltd.
NOTICE is hereby given that by duly signed entry in the minute book of the above-named company on the 12th day of September 1958, the following special resolution was passed by the company, namely:
“That the company be wound up voluntarily, and that Mr Wilfrid George Watts, of New Plymouth, public accountant, be and he is hereby appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.”

IN VOLUNTARY LIQUIDATION
NOTICE is hereby given that by an extraordinary solution passed, pursuant to section 362 of the Companies Act 1955, on 17 September 1958, it was resolved:
(1) That the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up, and that the company be wound up voluntarily.
(2) That, in pursuance of section 285 of the Companies Act 1955, Mr Jack Brayshaw Midgley, of Christchurch, public accountant, be and is hereby nominated as liquidator of the company.
Notice is also given that a meeting of the creditors of the company will be held, in pursuance of section 362 of the Companies Act 1955, at the Chamber of Commerce Library, Worcester Street, Christchurch, on Friday, the 26th day of September 1958, at 2.30 p.m., at which meeting a full statement of the position of the company’s affairs together with a list of the creditors and the estimated amount of their claims will be laid before the meeting, and at which meeting the creditors, in pursuance of section 285 of the said Act, may nominate a person to be the liquidator of the company and, in pursuance of section 286 of the said Act, may appoint a committee of inspection.

In the matter of the Companies Act 1955 and in the matter of Relax Ltd., a company duly incorporated in New Zealand and having its registered office in the City of Wellington and carrying on business as manufacturers’ representatives and agents.
NOTICE is hereby given that the order of the Supreme Court of New Zealand, dated the 12th day of September 1958, confirming the reduction of capital of the above-named company from £100,000 to £50,000, and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the above-mentioned Act, was registered by the Registrar of Companies on the 19th day of September 1958, the said minute being in the words and figures following:
“The capital of Relax Ltd. is £50,000 divided into 50,000 fully paid ordinary shares of £1 each, having been reduced from £100,000 divided into 50,000 non-cumulative participating preference shares of £1 each fully paid and 50,000 ordinary shares of £1 each fully paid.”
