WHEREAS the stockholders in extraordinary general
meeting decided that for policy purposes it was
expedient that:

1. Stock-holding in McKenzies Department Stores Ltd. be
   exchanged one for one at par in McKenzies (N.Z.) Limited,
   which latter company has absorbed J. R. McKenzie Limited.

2. That McKenzies Department Stores Limited go into
   voluntary liquidation.

Now, pursuant to section 222 of the Companies Act 1933,
notice is hereby given that at an extraordinary general meeting
of the above-named company held on 17 July 1956, the fol-
lowing resolution was passed unanimously as a special
resolution:

"That the company be wound up voluntarily under the
provisions of the Companies Act 1933, and that Mr Ward
Ingersoll Muller, of Wellington, Registered Accountant, be
hereby appointed liquidator for the purpose of such winding
up, with power to enter into the proposed arrangement."
