Revocation of Appointment of a Certain Garage-Proprietor for the Issue of Warrants of Fitness

The Sharebrokers Act, 1908.—Amendments to Rules of the Stock Exchange Association of New Zealand

HIS Excellency the Governor-General in Council has been pleased to approve the following amendments to the Rules of the Stock Exchange Association of New Zealand.

AMENDMENTS TO RULES

Rule 13 : Revoked and new rule 13 adopted as follows :—

“Rule 13. (a) The financial year of the association shall end on the 31st October and the annual meeting of the committee shall be held not later than the month of February in the following year at a place and on a date to be appointed by the President. In default of any such appointment being made by the President prior to the 30th of November in any year the annual meeting shall be held in Wellington on a date in the month of February following to be fixed by the Secretary.

“(b) At this meeting, or any adjournment thereof, the business shall be to receive the Report and Balance-sheet, elect a President and Vice-President, and transact any other business whatever that may be introduced in accordance with these Rules. All other meetings of the committee shall be deemed to be special meetings.

“(c) The financial year of the Metropolitan Exchanges shall end on the 31st October in each year and the annual meetings shall be held not later than the month of January.”

Rule 30 : Amend by adding further subsections (b) and (c)—

“(b) No Exchange shall be entitled to affiliate with the Stock Exchange Association of New Zealand unless such Exchange complies with and continues to comply with the following conditions :—

“(i) The number of members of the Exchange is not less than seven members :

“(ii) The quorum for a call as fixed by its rules is not less than four members present :

“(iii) Not less than one official call is held by the Exchange on each day other than Saturdays, Sundays, and holidays :

“(iv) That quotation sheets recording quotations on the Exchange are kept and published by the Exchange :

“(v) That complete records are kept by the Exchange of all calls held and sales made at such calls.

“(c) That if the membership of any Exchange affiliated with the Stock Exchange Association of New Zealand shall fall below seven members, or if such Exchange shall fail to hold not less than one official call on each day other than Saturdays, Sundays, and holidays, or if such Exchange fails to keep and publish quotation sheets, or if such Exchange fails to keep a true official record of all calls held by the Exchange and of the sales made at each such call then in any such case the committee of the Association may cause notice in writing to be given to the Exchange specifying the matter or matters in respect of which it is alleged that the Exchange has failed to comply with Rule 30 (b) and specifying the date, place, and time at which the committee will further consider the matter. On the date and at the time and place last mentioned, the committee shall further consider such matter and shall hear any evidence or representations on behalf of the Exchange concerned and then, if satisfied that the Exchange in question has committed a breach of any one of the foregoing requirements the committee may thereupon resolve that such exchange be no longer affiliated with the Stock Exchange Association of New Zealand. Upon the passing of a resolution of the committee declaring that a Stock Exchange be no longer affiliated with the Stock Exchange Association of New Zealand such Exchange shall cease to be affiliated with or to be a member of the Stock Exchange Association of New Zealand and its members shall cease to be entitled to any of the privileges or rights of a member of an affiliated Stock Exchange. The executive may exercise all of the powers of the committee under this rule.”
