In the matter of the Companies Act, 1933, and in
the matter of ELLISON AND DUNCAN, LIMITED.
NOTICE is hereby given that the Order of the
Supreme Court of New Zealand dated the 4th
day of March, 1942, confirming the reduction of the
capital of the above-named company from £52,250 to
£32,250, and the minute approved by the said Court
showing with respect to the capital of the company as
altered the several particulars required by the above-
mentioned Act, were registered on the 5th day of
March, 1942, by the Assistant Registrar of Companies
at Napier: And further take notice that the said
minute is in the words and figures following:-
"That the capital of Ellison and Duncan, Limited,
henceforth is £32,250, divided into 11,000 shares of
£2 15s. each all fully paid up and 8,000 shares of 5s.
each all fully paid up, and that all such shares have
been issued. A special resolution of the company has
been passed to the effect that on such reduction taking
effect the capital of the company so reduced shall be
converted into 32,250 shares of £1 each all fully
paid up."

NOTICE is hereby given that the Order of the
Supreme Court of New Zealand at Auckland
dated the 5th day of March, 1942, confirming the
reduction of capital of the company from £40,000 to
£30,000, and the minute approved by the Court showing
with respect to the capital of the company the several
particulars required by the said Act, was registered
with the Assistant Registrar of Companies at Auckland
on the 6th day of March, 1942.

MANGAPU DRAINAGE BOARD.
RESOLUTION MAKING SPECIAL RATE.
Orahiri Drainage Board Repayment Loan, 1941 (£500).
IN pursuance and exercise of the powers vested in
it in that behalf by the Local Bodies' Loans
Act, 1926, the Mangapu Drainage Board resolves as
follows:-
"That, for the purpose of providing interest and
other charges on a loan of five hundred pounds (£500),
authorized to be raised by the Mangapu Drainage
Board under the above-mentioned Act for the purpose
of repaying the loan liability of the Orahiri Drainage
Board, the said Mangapu Drainage Board hereby makes
and levies in the terms of the Land Drainage Act,
1908, and its amendments, the Rating Act, 1925, and
its amendments, and all other Acts and powers in that
behalf enabling, a special rate on a graduated scale
according to the classification list of all rateable land
(on the basis of the unimproved value) in that portion
of the Northern Subdivision of the Mangapu Drainage
District formerly comprising the Orahiri Drainage
District, as under:-
"On all lands classified "A," fivepence farthing
(5½d.) in the pound;
"On all lands classified "B," threepence halfpenny
(3½d.) in the pound;
"On all lands classified "C," one penny three-
farthings (1½d.) in the pound;
and that such special rate shall be an annual-recurring
rate during the currency of such loan and be payable
yearly on the lst day of April in each and every
year during the currency of such loan, being a period
of fifteen years or until the loan is fully paid off."

NEW PLYMOUTH HARBOUR BOARD.
I, CHARLIE EMANUEL BELLRINGER, Chairman
of the New Plymouth Harbour Board, do hereby
certify that pursuant to the provisions of subsection (2)
of section 9 of the Local Authorities Interest Reduction and Loans Conversion Act, 1932-33, a resolution
was duly passed at a special meeting of the New
Plymouth Harbour Board held on the 15th day of
January, 1942, and confirmed on the 12th day of
February, 1942, providing for the issue under Part II
of that Act of new securities in conversion of existing
securities issued in respect of the loan specified in the
First Schedule to the New Plymouth Harbour Board
Loans Conversion Order, 1941, published in the New
Zealand Gazette of the 18th day of December, 1941, at
page 3944.

IN VOLUNTARY LIQUIDATION.
PURSUANT to section 222 of the Companies Act,
1933, notice is hereby given that on the 5th day
of March, 1942, the members of the above-named company passed the following special resolution:-
"That the company be wound up voluntarily."
It was further resolved that VALENTINE CHRISTOPHER
JONES, of Wellington, Furniture-manufacturer, be and
he is hereby appointed liquidator of the company.

PURSUANT to section 241 of the Companies Act,
1933, notice is hereby given that a meeting of
creditors of the above-named company will be held at
the office of the liquidator, National Mutual Building,
Rangitikei Street, Palmerston North, on Thursday, 26th
March, 1942, at 2 p.m., for the purpose of having an
account laid before the meeting showing the manner
in which the winding up has been conducted and the
property of the company disposed of, and of hearing
any explanation that may be given by the liquidator.
