(2) The foregoing provisions as to nomination, selection,
and recommendation of candidates shall, with such modi-
fications as may be necessary, apply with respect to the filing
of any such vacancy.

  1. The powers of the Board shall not be affected by any
    vacancy in the membership thereof.

MEETINGS.

  1. The Board shall meet for the despatch of business at
    such times and places as the Board or Chairman may appoint,
    and a meeting may be summoned at any time by the Chairman.

  2. The Native Minister may direct a meeting to be con-
    vened at any time, and thereupon such meeting shall be held.

  3. The first meeting of the Board after each triennial
    appointment of the members thereof shall be held at such
    time and place as may be directed by the Native Minister.

  4. (1) At such first meeting the Board shall elect one of
    its members to be Chairman and another to be Deputy
    Chairman, who in the event of the absence of the Chairman
    shall have all the powers and authorities of the Chairman.
    The member elected Chairman shall thereupon preside over
    the meeting of the Board at which he has been so elected, but
    neither the Chairman nor the Deputy Chairman shall come
    into office until their election as Chairman and Deputy
    Chairman respectively has been approved by the Native
    Minister.

(2) At every meeting for the election of a Chairman and
Deputy Chairman the Secretary of the Board shall preside,
and in any case of an equality of votes shall determine the
election by lot in such manner as the Board directs.

(3) The Secretary of the Board shall forthwith submit to
the Native Minister the name and description of the members
elected to be Chairman and Deputy Chairman respectively.

  1. All questions coming before the Board at any meeting
    shall be decided by a majority of the votes of the members
    present thereat.

  2. At every meeting the Chairman, or, in his absence, the
    Deputy Chairman, or, in the absence of both, some other
    member to be chosen by those present, shall preside, and the
    Chairman or the Deputy Chairman or presiding member shall
    have a deliberative vote, and, in the case of equality of votes,
    shall have a casting vote also.

  3. A quorum at any meeting of the Board shall consist of
    five members, and no business shall be transacted at any
    meeting unless a quorum is then present.

  4. If within half an hour after the time for which a
    meeting of the Board has been appointed, whether by
    summons or by adjournment, a quorum is not present, the
    member or members present, or, if no member be present, an
    officer of the Board may adjourn the meeting to such time
    and place as is thought fit.

  5. All proceedings and resolutions of the Board shall be
    recorded in a minute-book to be kept for the purpose, and
    upon request of the Under-Secretary the Chairman or officer
    of the Board shall supply a copy of or an extract from the
    minutes of the Board.

SEAL.

  1. The seal of the Board shall be such as is determined by
    the Board and approved by the Native Minister, and shall be
    kept in the custody of the Chairman or of such officer of the
    Board as it may appoint for the purpose.

  2. The seal of the Board shall not be affixed to any
    document except in the presence of two members of the
    Board and of the Secretary or other responsible officer of
    the Board, all of whom shall attest the sealing of the
    document.

OFFICERS.

  1. (1) The Board may from time to time, with the approval
    of the Native Minister, appoint some fit and proper person
    to be the Secretary of the Board, and with the like approval
    may at any time remove any such Secretary.

(2) The Secretary of the Board shall be deemed to be the
servant of the Board and shall receive such salary or other
remuneration as the Board, with the approval of the Native
Minister, shall determine.

(3) The Secretary shall have all such powers and duties
as the Board shall determine, and he shall at all times
conform to the direction of the Board in that behalf.

  1. The Board may from time to time appoint such other
    officers and workmen of the Board as shall be found necessary
    and expedient for the proper carrying-out of the business of
    the Board.

ACCOUNTS.

  1. All moneys received by the Board shall be acknow-
    ledged on a printed form of receipt. A counterfoil of each
    receipt shall be retained by the Board, and shall be counter-
    signed by some person (other than the receiving officer),
    who shall certify the same as a true copy of the receipt
    issued.

  2. Proper books of accounts and other books shall be
    kept by the Board, in which shall be entered correct records
    of all moneys received and paid out by the Board.

  3. Receipts shall be numbered consecutively, and the
    number of each receipt shall be quoted in the cash-book and
    other books of accounts kept by the Board.

  4. All books and vouchers shall, on request, be produced
    to the Under-Secretary or to any Inspector appointed by the
    Native Minister to examine the same.

  5. All such accounts shall be subject to audit by the
    Audit Office.

  6. At the close of each year ending on the 31st day of
    March the Board shall cause to be prepared a statement
    showing the total receipts and expenditure of the Board
    during that year, and a balance-sheet showing its assets and
    liabilities ; and shall send a copy thereof, under the seal of
    the Board, to the Under-Secretary, not later than sixty days
    after the 31st day of March.

ADMINISTRATION OF FUNDS.

  1. (1) All moneys received by the Board shall be paid
    into the Bank of New Zealand at Rotorua (or such other
    branch of that bank as the Native Minister may direct) to
    the credit of an account to be called the “Arawa District
    Trust Board Account.”

(2) No moneys shall be paid out of such account except
by cheque signed by two members of the Board and counter-
signed by an officer of the Public Service resident in Rotorua
to be appointed in that behalf by the Native Minister.

  1. All reasonable expenses properly incurred by the
    Board (inclusive of actual and reasonable travelling-expenses)
    may be paid out of moneys in its account.

  2. (1) A member shall not be entitled to be paid any
    allowance for his attendance at any meeting of the Board,
    but may be allowed the actual cost of accommodation or
    meals while attending such meeting.

(2) A member shall be entitled to a refund of the reasonable
expense of transport to and from the place of meeting by
public conveyance. If no such public conveyance is available,
then the reasonable actual cost of other transport may be
allowed. In cases where the cost would be less than by public
conveyance a member may be allowed at the rate of sixpence
per mile of the distance measured each way for the use of
his own horse, car, or other vehicle.

  1. Any moneys in the hands of the Board available for
    investment may be paid to the Native Trustee for investment
    for him in such manner as may be agreed upon, or may be
    invested on the security of first mortgage over freehold
    property, or in the securities of the Government of New
    Zealand, or in debentures lawfully issued by a local body,
    or by deposit in any bank of issue in New Zealand, or in the
    Post Office Savings-bank, or the common fund of the Public
    Trustee.

  2. If and whenever the Board desires to borrow money,
    pursuant to the authority in that behalf conferred by the
    said section, it shall forward to the Under-Secretary a state-
    ment showing the purpose for which the money is proposed
    to be borrowed, the amount of moneys to be borrowed, the
    interest to be paid, and the particulars of the expenditure
    to be undertaken.

  3. If any question shall arise as to the expenditure of any
    money by the Board, or as to the proportion in which any
    benefits shall be allocated amongst the respective hapus
    entitled thereto, or as to whether any project resolved upon
    by a public meeting of the members of the Arawa Tribe
    should be undertaken by the Board, any person aggrieved by
    the Board’s decision thereon may apply to the Native
    Minister to decide the matter at issue. The Native Minister
    may thereupon decide the question in dispute or what is
    right and proper to do under the circumstances, and shall
    direct the Board accordingly, and the Board shall thereupon
    act upon such direction.
