In the matter of the Companies Act, 1933; and in the matter of EXPOSITIONS (N.Z.), LIMITED (in Voluntary Liquidation).

Members’ Voluntary Winding up.

NOTICE is hereby given that the above-named company by resolution dated the 30th May, 1940, went into voluntary liquidation and appointed the undersigned as liquidator.

Notice to Creditors to Prove.

The liquidator of Expositions (N.Z.), Limited, which is being wound up voluntarily, doth hereby fix the 28th day of June, 1940, as the last day on or before which creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 258 of the Act, or to be excluded from the benefit of any distribution made before such debts are proved, or, as the case may be, from objecting to such distribution.

I, ALFRED IBBOTSON, General Manager of the Perpetual Trustees Estate and Agency Company of New Zealand, Limited, do solemnly and sincerely declare :—

  1. That the liability of the members is limited.
  2. That the capital of the company is £106,250 divided into 25,000 shares of £4 5s.
  3. That the number of shares issued is 25,000.
  4. That calls to the amount of 18s. (eighteen shillings) per share have been made under which the sum of £22,500 has been received.
  5. That the amount of moneys received on account of Estates under Administration during the half-year ended 30th April, 1940, is £565,750 14s. 4d.
  6. That the amount of all moneys paid on account of Estates under Administration during the half-year ended 30th April, 1940, is £564,850 6s. 2d.
  7. That the amount of the balance held to the credit of Estates under Administration during the half-year ended 30th April, 1940, is £79,045 12s. 7d.
  8. That the liabilities of the company on the 1st day of May last were debts owing to sundry persons by the company—viz.: On judgment, nil; on specialty, nil; on notes or bills, nil; on simple contracts, £173,517 8s. 10d. on estimated liabilities, nil.
  9. That the assets of the company on that date were: Government securities, £10,880; other securities, £183,806 2s.; bills of exchange and promissory notes, nil; cash on deposit, £22,853 15s. 11d.; cash at bank £15,388 14s.

And I make this solemn declaration conscientiously believing the same to be true and by virtue of the provisions of an Act of the General Assembly of New Zealand intituled the Justices of the Peace Act, 1927.

Business.—To lay before the meeting an account of the winding-up, showing how such winding-up has been conducted, and property of the company disposed of.

“ That the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that ORTON AVENA MANGIN, Company Secretary, of Crown Buildings, corner of Cuba and Dixon Streets, Wellington, New Zealand, be and is hereby appointed the liquidator for the purposes of such winding-up.”

NOTICE is hereby given that the above-named company passed, by entry in its minute-book on the 8th day of June, 1940, the following extraordinary resolution :—

“ That the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that ORTON AVENA MANGIN, Company Secretary, of Crown Buildings, corner of Cuba and Dixon Streets, Wellington, New Zealand, be and is hereby appointed the liquidator for the purposes of such winding-up.”

And notice is hereby further given that, pursuant to section 300 (7) of the above-mentioned Act, a meeting of the creditors of the said company will be held at the registered office of the company, Crown Buildings, corner of Cuba and Dixon Streets, in the City of Wellington, New Zealand, on Tuesday, the 18th day of June, 1940, at 10.30 o’clock in the forenoon, at which meeting a full statement of the position of the company’s affairs, together with a list of creditors and the estimated amount of their claims, will be laid before the meeting, and at which meeting the creditors, in pursuance of section 235 of the said Act, may nominate a person to be liquidator of the company, and in pursuance of section 236 of the said Act, may appoint a committee of inspection.

NOTICE is hereby given that, by an entry in its minute-book, the Christchurch Glass Company, Limited, on the 10th day of June, 1940, passed a special resolution for voluntary winding up; And that a meeting of the creditors of the said company will be held pursuant to section 234 of the Companies Act, 1933, in the Chamber of Commerce Building, corner Worcester Street and Oxford Terrace, Christchurch, on Wednesday, the 19th day of June, 1940, at 10 o’clock in the forenoon, at which meeting a full statement of the position of the company’s affairs, together with a list of the creditors and of the estimated amount of their claims, will be laid before the meeting, and at which meeting the creditors, in pursuance of section 235 of the said Act, may nominate a person to be the liquidator of the company, and in pursuance of section 236 of the said Act, may appoint a committee of inspection.
