Act, 1933, at the Dominion Farmers’ Institute Buildings,
Featherston Street, Wellington, on Monday, the 17th day
of June, 1935, at 10.30 o’clock in the forenoon, at which
meeting a full statement of the position of the company’s
affairs, together with a list of the creditors and the estimated
amounts of their claims, will be laid before the meeting, and at
which meeting the creditors, in pursuance of section 235 of
the said Act, may nominate a person to be the liquidator of
the company and in pursuance of section 236 of the said Act
may appoint a committee of inspection.

TE AROHA BOROUGH COUNCIL.
Te Aroha Borough Council Loans Conversion Order, 1935.
I HEREBY certify, pursuant to clause 4 of the above-
mentioned Conversion Order, that the following resolu-
tion was duly passed at a special meeting of the Te Aroha
Borough Council convened for the purpose and held on the
23rd day of May, 1935, and confirmed at a special meeting
of the said Council held on the 6th day of June, 1935, and that
public notice of the place and date of the confirming meeting
and the purport of the said resolution was published in the
Te Aroha News newspaper on 24th and 31st May, 1935 :—
“ In pursuance and exercise of the powers vested in it in
that behalf by Part II of the Local Authorities Interest
Reduction and Loans Conversion Act, 1932–33, the Te Aroha
Borough Loans Conversion Order, 1935, and all other powers
and authorities enabling it in this behalf, the Te Aroha
Borough Council hereby resolves to issue new securities in
conversion of the debentures or other securities in respect of
loans aggregating £35,665 comprised in the First Schedule of
the Te Aroha Borough Loans Conversion Order, 1935, dated
the 13th May, 1935, and published in the New Zealand Gazette
of the 16th May, 1935, on page 1337, such new securities to be
issued and the conversion effected in terms of the said Loans
Conversion Order.”

GISBORNE GAS COMPANY, LIMITED.
Notice to Holders of Bearer Debentures comprised in the Series
of £30,000 Bearer Debentures issued by the Company.
In the matter of the GISBORNE GAS COMPANY, LIMITED.
NOTICE is hereby given that a general meeting of the
holders of debentures of the above-named company
constituted by trust deed dated the 14th day of October, 1931,
and made between the said company of the one part and the
New Zealand Insurance Company, Limited, as trustees of the
other part, will be held at the company’s office, Peel Street,
Gisborne, on Friday, the 28th day of June, 1935, at 2.30
o’clock in the afternoon, for the purpose of considering and if
thought fit of passing extraordinary resolutions :—
-
That the date for the payment of the principal sum
secured by the debentures be extended to the 1st day of
August, 1945. -
That as from the first day of August, 1935, the interest
payable under the debentures shall be £5 in place of £7 per
centum per annum (at present less 20 per centum). -
Agreeing to exchange (on or after the 31st day of July,
1935), the existing debentures for new debentures in con-
formity with the resolutions passed at this meeting, together
with interest from the 1st day of June, 1935, to the 31st day
of July, 1935, at the rate of £7 per centum per annum less
20 per centum on every £100 of the said debentures so
exchanged. -
Authorizing the New Zealand Insurance Company,
Limited, to enter into a deed with this company modifying
the existing trust deed to conform with the above resolutions
and/or any other resolutions passed at the meeting and
accepted by this company. -
Authorizing the New Zealand Insurance Company,
Limited, to consent as a creditor, by virtue of its position as
a trustee for the debenture-holders, of the Gisborne Gas
Company, Limited, to the proposals of the Gisborne Gas
Company, Limited, to reduce the capital of the company by
refunding to its preference shareholders the amount of the
preference share capital of £9,925.

IN VOLUNTARY LIQUIDATION.
NOTICE is hereby given that N. J. Macpherson, Limited,
on the 5th day of June, 1935, in terms of subsection (7)
of section 300 of the Companies Act, 1933, passed an extra-
ordinary resolution for voluntary winding up ; and that a
meeting of the creditors of the company will be held pursuant
to section 234 of the said Act at Wellington (Room 93, A.M.P.
Buildings), on Saturday, the 15th day of June, 1935, at
10 o’clock in the forenoon, at which meeting a full statement
of the position of the company’s affairs, together with a list
of the creditors and the estimated amount of their claims,
will be laid before the meeting, and at which meeting the
creditors, in pursuance of section 235 of the said Act, may
nominate a person to be the liquidator of the company, and
in pursuance of section 236 of the said Act may nominate a
committee of inspection.

Section 49, Block II, Highlay District, occupied by Jane
Robinson (being part of alluvial reserve), at a pegged point
in natural bed of stream about 5 chains above the culvert
over such bed on the Ounce Road from the Macraes Flat
Road, and terminating at pegged point near Southern boundary
(but on northern side thereof) of Section 51, said Block II,
on approximately the line of the present electric-power line
through the said reserve but using the natural bed of the said
stream unless otherwise necessary or convenient.
