1934, the following resolution was passed by the
company by resolution in the minute-book and signed by
the shareholders :-
"The company being unable by reason of its liabilities
to continue, and it being advisable that the company be
wound up, it is hereby resolved that the company be wound
up, and that ROBERT ARCHIBALD REW, of Auckland, be
appointed liquidator for the purpose of such winding-up."

named company that it intends ceasing to carry on
business in the Dominion of New Zealand at the expiration
of three (3) calendar months from the date of the first publica-
tion of this notice in the New Zealand Gazette.

MEMORANDUM TO CLIENTS AND OTHERS.
It has been decided to reconstruct the company under the
provisions of the Companies Act, 1933, and as from the date
on which the National Cash Register Company of Australasia,
Limited, ceases to carry on business in New Zealand its
organization and affairs will be carried on without interruption
by a new company now in process of formation and known as
"The National Cash Register Company (N.Z.), Limited."
ROSS AND GLENDINING, LIMITED.
IN VOLUNTARY LIQUIDATION.
In the matter of the Companies Act, 1933, and of Ross AND
GLENDINING, LIMITED.
NOTICE is hereby given that at an extraordinary general
meeting of the shareholders of the above company
held on the 31st day of July, 1934, the following special
resolutions were passed :-
- "That this company be wound up voluntarily."
- "That Mr. ALFRED WILLIAM JEAVONS be appointed
liquidator of the company for the purpose of winding up
the affairs and distributing the assets of the company, without
remuneration."

Memorandum.-The liquidation referred to is in pursuance of
an internally arranged plan of reconstruction. A new company
has already been incorporated under the name of Ross and
Glendining, Limited, with a capital of Β£1,000,000 and with
exactly the same shareholders as the old company. The
new company has taken over all the assets and liabilities of
the old, and will carry on the business as before.
CLUTHA RIVER BOARD.
In the matter of the Local Authorities Interest Reduction
and Loans Conversion Act, 1932-33, and in the matter
of the Clutha River Board Loan Conversion Order, 1934.
IT is hereby certified that the following is a true copy
of a resolution passed by the Clutha River Board at a
special meeting held on the twenty-fifth day of May, one
thousand nine hundred and thirty-four, and confirmed at an
ordinary meeting held on the twenty-seventh day of July,
one thousand nine hundred and thirty-four :--
"Resolved that the Clutha River Board in pursuance of the
powers conferred upon it by the Local Authorities Interest
Reduction and Loans Conversion Act, 1932-33, and in pur-
suance of every other power (if any) enabling it in that behalf,
issue new securities in conversion of the Conversion and
River Improvement Loan, 1926, of Β£10,000, maturing on the
thirty-first day of March, one thousand nine hundred and
thirty-six, such conversion to be on the terms, conditions,
and stipulations set out in the Clutha River Board Loan
Conversion Order, 1934, as appearing in the New Zealand
Gazette No. 16, 15th March, 1934, page 573."
Dated this 3rd day of August, one thousand nine hundred
and thirty-four.
