NOTICE is hereby given that by an entry in the minute-book of the above-named company signed by the necessary number of shareholders holding the requisite number of shares and taking effect as a special resolution under section 168 of the Companies Act, 1908, it was resolved—

  1. That the company be required to wind up voluntarily.

  2. That for the purpose of winding up the company FLORENCE KEM MOORE, of Hastings, Company Secretary, be appointed Liquidator.

NOTICE is hereby given in pursuance of section 230 of the Companies Act, 1908, that a general meeting of the above-named company will be held at the Chamber of Commerce, 17 Swanson Street, Auckland C. 1, on Wednesday, the 10th day of January, 1934, at 7.30 p.m., for the purpose of having accounts laid before the meeting showing the manner in which the winding-up has been conducted and the property of the company disposed of, and of hearing any explanation that may be given by the Liquidator.

I, JOHN DEAN, Chairman of the Franklin Electric-power Board, do hereby certify that pursuant to the provisions of subsection (2) of section 9 of the Local Authorities Interest Reduction and Loans Conversion Act, 1932–33, a resolution was duly passed at a special meeting of the Franklin Electric-power Board held on the 20th day of December, 1933, and confirmed on the 8th day of January, 1934, providing for the issue under Part II of that Act of new securities in conversion of existing securities issued in respect of the loans set forth in the First Schedule to the Franklin Electric-power Board Loans Conversion Order, 1933, as published in the New Zealand Gazette of the 7th December, 1933, No. 83, pages 3283 to 3289.

FRANKLIN ELECTRIC-POWER BOARD LOANS CONVERSION ORDER, 1933.

RESOLUTION MAKING SPECIAL RATE.

THE following resolution was duly passed at a meeting of the Franklin Electric-power Board held on the 8th day of January, 1934:—

In pursuance and exercise of the powers vested in it in that behalf by Part II of the Local Authorities Interest Reduction and Loans Conversion Act, 1932–33, and the Franklin Electric-power Board Loans Conversion Order, 1933, the Franklin Electric-power Board hereby resolves as follows:—

That, for the purpose of providing the interest and other charges on the new securities authorized to be issued by the Franklin Electric-power Board under the above-mentioned Act and Order in conversion of existing securities issued in respect of the following loans:—

(a) The Special Loan of £150,000, 1925, maturing on the 1st December, 1961, being part of the Franklin Electric-power Board Special Loan of £200,000, 1925, with the exception that in accordance with the provisions of the Franklin Electric-power Board Loans Conversion Order, 1933, securities totalling £7,200 held by the Public Trustee in the Special Loan of £150,000, 1925, will be repaid as at the date of conversion in cash out of accumulated sinking funds existing in respect of the said loan.

(b) The Special Loan of £50,000, 1927, maturing on the 1st December, 1963, being part of the Franklin Electric-power Board Special Loan of £200,000, 1925.

(c) The Part Raglan County Special Loan of £17,000, 1927, maturing on the 1st November, 1964, being part of the Franklin Electric-power Board Part Raglan County Special Loan of £34,820, 1927.

(d) The Supplementary Loan of £7,000, 1928, maturing on the 1st December, 1964, being part of the Franklin Electric-power Board Supplementary Loan of £20,000, 1928.

(e) The Supplementary Loan of £8,000, 1928, maturing on the 3rd January, 1965, being part of the Franklin Electric-power Board Supplementary Loan of £20,000, 1928.

(f) The Supplementary Loan of £5,000, 1928, maturing on the 2nd May, 1965, being part of the Franklin Electric-power Board Supplementary Loan of £20,000, 1928.

(g) The Special Loan of £5,000, 1929, maturing on the 1st July, 1965, being part of the Franklin Electric-power Board Special Loan of £75,000, 1929.

(h) The Special Loan of £10,000, 1930, maturing on the 1st October, 1956, being part of the Franklin Electric-power Board Special Loan of £75,000, 1929.

(i) The Special Loan of £10,000, 1931, maturing on the 1st February, 1957, being part of the Franklin Electric-power Board Special Loan of £75,000, 1929.

(j) Debentures Nos. 1 to 44, totalling £4,400, of the Special Loan of £10,000, 1932, maturing on the 1st March, 1958, being part of the Franklin Electric-power Board Special Loan of £75,000, 1929.

And also the interest and other charges on the unconverted securities issued in respect of such loans, the said Franklin Electric-power Board hereby makes and levies a special rate of eleven twenty-firsts of a penny (11/21sts pence) in the pound, upon the rateable value of all rateable property of the Franklin Electric-power District, comprising the constituent districts of Franklin County, Pukekohe Borough, Waiuku Town, Tuakau Town, and part Raglan County, and comprising the whole of the rateable property in the County of Franklin, the Borough of Pukekohe, the Town District of Waiuku, the Town District of Tuakau, and the Onewhero, Pukekawa, and Port Waikato Ridings of the County of Raglan, and that such special rate shall be an annually recurring rate during the currency of such securities, and be payable yearly on the second day of February in each and every year until the last maturity date of such securities, being the second day of August, 1963, or until all such securities are fully paid off.
