Resolved.—“That it has been proved to the satisfaction of the company and to shareholders that the company by reason of its liabilities cannot continue its business and that it is advisable to wind up the same and that the company be wound up voluntarily, and that ROBERT ALFRED SCOTT, of Wellington, Accountant, be appointed Liquidator.”

And at a meeting of shareholders held on the 30th day of November, 1933, the above special resolution was confirmed.
