THE NEW ZEALAND GAZETTE.

Notice is hereby given to the holders of debentures or other securities issued by the Wellington City Council in respect of the above-mentioned loans that it is intended to convert all such debentures (except those in respect of which dissent is duly signified) into new debentures having new maturity dates and bearing interest at 4½ per cent. per annum in denominations of £100 each unless other denominations are specially arranged.
The conversion will take effect from 1st February, 1934.
Application for conversion must be made in writing and be accompanied by the securities to which it relates.
Dissent from the conversion of any existing debentures may be signified by the holder only by notice in writing delivered to City Treasurer, Town Hall, Wellington, on or before the 8th day of January, 1934.
If notice of dissent from the conversion of any debentures is not received by that date the debentures will be converted.
The rate of interest on any debentures in respect of which dissent is signified as aforesaid will, by virtue of section 18 of the above-mentioned Act, be reduced to two-thirds of the original rate, as from 1st February, 1934.
Further particulars as to the new debentures and the conversion generally may be obtained from the City Treasurer, Town Hall, Wellington, or any branch of the Union Bank of Australia, Limited, in New Zealand.
It is also proposed to repay at par in cash on the 1st day of February, 1934, existing securities to the amount of £90,450. Any holders desiring repayment on that date should signify such desire when applying for conversion to enable the Council to select for repayment such securities, if any, as it thinks fit not exceeding £90,450.

NOTICE is hereby given that a general meeting of the members of Empire Art Company, Limited, New Zealand (in Liquidation), will be held at the offices of Messrs. Sly and Russell, Solicitors, Barrack Street, Sydney, on the 5th day of January, 1934, at ten o’clock in the forenoon, for the purpose of allowing the Liquidator to produce to the meeting an account showing the manner in which the winding-up has been conducted and the assets of the company disposed of.

CLUTHA COUNTY COUNCIL.
NOTICE OF INTENTION TO TAKE LAND.
In the matter of the Public Works Act, 1928.
NOTICE is hereby given that the Clutha County Council proposes under the provisions of the above-mentioned Act to execute a certain public work—namely, the widening and reconstruction of a road in part Sections one (1) and two (2), Block Three (III), and Section nine (9) and part Section Ten (10), Block Eleven (XI), Town of Waipahi, and for the purpose of such public work the lands described in the Schedule hereto are required to be taken :
And notice is hereby given that a plan of the lands so required to be taken is deposited in the office of the Clerk to the said Council situate at Clyde Street, Balclutha, and is open for inspection without fee to all persons during ordinary office hours :
All persons affected by the execution of the said public work or by the taking of such lands who have any well-grounded objections to the execution of the said public work or to the taking of such lands must state their objections in writing, and send the same within forty days from the fourth day of December, one thousand nine hundred and thirty-three, being the date of the first publication of this notice, to the County Clerk at the County Office, Clyde Street, Balclutha.

I, ALFRED IBBOTSON, General Manager of the Perpetual Trustees Estate and Agency Company of New Zealand, Limited, do solemnly and sincerely declare :—

That the liability of the members is limited.

That the capital of the company is £106,250, divided into 25,000 shares of £4 5s.

That the number of shares issued is 25,000.

That calls to the amount of 18s. (eighteen shillings) per share have been made under which the sum of £22,500 has been received.

That the amount of moneys received on account of Estates under Administration during the half-year ended 31st October, 1933, is £265,553 13s. 4d.

That the amount of all moneys paid on account of Estates under Administration during the half-year ended 31st October, 1933, is £264,826 17s. 2d.

That the amount of the balance held to the credit of Estates under Administration during the half-year ended 31st October, 1933, is £56,581 1s. 6d.

That the liabilities of the company on the 1st day of November, 1933, were debts owing to sundry persons by the company—viz.: On judgment, nil; on specialty, nil; on notes or bills, nil; on simple contracts, £118,053 16s. 11d.; on estimated liabilities, nil.

That the assets of the company on that date were: Government securities, £10,880; other securities, £143,510 0s. 11d.; bills of exchange and promissory notes, nil; cash on deposit, £16,548 1s. 0d.; cash at bank, £3,096 9s. 11d.
And I make this solemn declaration conscientiously believing the same to be true, and by virtue of the provisions of an Act of the General Assembly of New Zealand intituled the Justices of the Peace Act, 1927.

IN LIQUIDATION.
NOTICE is hereby given that at an extraordinary general meeting of the shareholders held on the 4th day of December, 1933, the following resolution was duly passed :—
“That the company cannot by reason of its liabilities continue its business and that it be wound up voluntarily, and that DUDLEY NORTON CHAMBERS, Public Accountant, of Auckland, be and is hereby appointed Liquidator for the purpose of such winding-up.”
All persons having claims against the company are requested to forward them to the undermentioned address on or before the 30th day of December, 1933; failing this, they may be excluded from participation in any distribution.
