of a penny in the pound sterling on the rateable value (on the basis of the unimproved value) of all rateable property in the whole of the County of Hauraki Plains; and that such special rate shall be an annually recurring rate during the currency of such loan, and be payable yearly on the 1st day of July in each and every year during the currency of such loan, being a period of thirty-six and a half (36½) years, or until the loan is fully paid off.

KNOW all men by these presents (which are intended to be filed in the Office of the Supreme Court of New Zealand at Auckland, in the Dominion of New Zealand) that I, the undersigned NICHOLAS JOHN JUROVICH, or JERVIS, of Parnell, in the City of Auckland, in the Provincial District of Auckland, in the said Dominion of New Zealand, Confectioner, now and heretofore known as “Nicholas John Jervis,” do hereby, on behalf of myself and my heirs and issue lawfully begotten, absolutely renounce and abandon the use of my said surname of “Jurovich,” and in lieu thereof assume and adopt the surname of “Jervis” by which I am now and have heretofore been known; and for the purpose of evidencing such change of name, I hereby declare that I shall at all times hereafter in all records, deeds, documents, and other writings, and in all actions, suits, and proceedings, as well as in all dealings and transactions, matters, and things whatsoever, and upon all occasions use and adopt the said name of “Jervis” as my surname in lieu of the said surname of “Jurovich,” so abandoned as aforesaid; and I therefore hereby expressly authorize and require all persons whomsoever at all times to designate, describe, and address me and my heirs and issue by such adopted surname of “Jervis” only.

AT a meeting of shareholders in DICKESON BROTHERS (LIMITED) held on 30th September, 1925, the following special resolution was passed:—

“That the company be wound up voluntarily under the provisions of the Companies Act, 1908, and its amendments, and that NOLAN ARTHUR ELLERY, of Kaikohe, be hereby appointed Liquidator for the purposes of such winding-up.”

In the matter of the Companies Act, 1908, and its amendments; and in the matter of the AARD TAXI SERVICE (LIMITED), a private company duly incorporated under the above Act, and having its registered office at Station Street, Napier.

TAKE notice that at an extraordinary general meeting of the above company held in the offices of Messieurs Kennedy, Lusk, and Morling, Solicitors, Herschell Street, on the 30th day of September, 1925, at 7.30 p.m., the following special resolution was passed and signed by all the shareholders of the said company in the minute-book of the company:—

The company in general meeting doth hereby, by way of special resolution, resolve as follows:—

(a.) That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily, and that CHARLES DOUGLAS WILSON, of Napier, Accountant, be hereby appointed Liquidator for the purposes of such winding-up.

(b.) That the said Liquidator be hereby authorized and directed to consent to the registration of two new companies, to be called respectively “THE AARD MOTOR SERVICES (LIMITED)” and “WOODCOCK, ANDERSON, AND COMPANY (LIMITED),” with memorandum and articles of association respectively for each company as submitted at this meeting.

(c.) That the draft agreement for sale and purchase submitted to this meeting and expressed to be made between the company in liquidation and its Liquidator of the one part and Woodcock, Anderson, and Company (Limited) of the other part, be hereby approved, and that the said Liquidator be hereby authorized and directed, pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with the said last-mentioned company when incorporated in terms of the said draft and to carry the same into effect with such (if any) modifications as he may think expedient.

(d.) That the draft agreement for sale and purchase submitted to this meeting and expressed to be made between the company in liquidation and its Liquidator of the one part and the Aard Motor Services (Limited) of the other part be hereby approved, and that the said Liquidator be hereby authorized and directed pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with the said last-mentioned company when incorporated in terms of the said draft, and to carry the same into effect with such (if any) modifications as he may think expedient.
