NOTICE is hereby given that the parcels of land hereinafter described will be brought under the provisions of the Land Transfer Act, 1915, unless caveat be lodged forbidding the same on or before 22nd December, 1919.

THE WAIKATO CO-OPERATIVE DAIRY COMPANY, LIMITED.

NOTICE is hereby given that at an extraordinary general meeting of the above-named company duly convened and held at the Lecture Hall, Winter Show Buildings, Hamilton, on the 26th day of September, 1919, the following special resolutions were duly passed, and at a subsequent extraordinary general meeting of the said company duly convened and held at the same place on the 11th day of October, 1919, the following special resolutions were duly confirmed, viz.:—

  1. That it is expedient to effect an amalgamation of this company with the New Zealand Dairy Association (Limited) and the Waikato Co-operative Cheese Company (Limited), and that with a view thereto this company be wound up voluntarily; and that STANLEY G. CHAMBERS, of Auckland, New Zealand, Accountant, be and he is hereby appointed Liquidator for the purpose of such winding-up.

  2. That such Liquidator be and he is hereby authorized to consent to the registration of a new company to be called “The New Zealand Co-operative Dairy Company (Limited),” with a Memorandum and Articles of Association which have already been prepared with the privity and approval of the directors of this company.

  3. That the draft agreement submitted to this meeting and expressed to be made between this company of the first part, its Liquidator of the second part, and George Sedgwick Kent, of Auckland, New Zealand, Solicitor, as Trustee for the New Zealand Co-operative Dairy Company (Limited), of the third part, be and the same is hereby approved; and that the said Liquidator be and he is hereby authorized, pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in the terms of the said draft and to carry same into effect, with such (if any) modifications as he shall think expedient.
