WINDING-UP NOTICE.

In the matter of the Companies Act, 1908, and of the South New Brighton Land Syndicate (Limited).

NOTICE is hereby given that at an extraordinary general meeting of the South New Brighton Land Syndicate (Limited) held on Monday, the 10th day of April, 1916, the following resolutions were duly passed :—

RESOLUTIONS.

(1.) That the present company be wound up voluntarily, and the Secretary be appointed Liquidator; and that a new company be formed to be called “The South New Brighton Land Company (Limited),” with a nominal capital of £5,000 divided into 5,000 shares of £1 each. The shareholders in the old company to be allotted 15 shares of £1 each fully paid in the new company for every ten shares at present held by them. 2,000 £1 shares in the new company to be offered to the present shareholders, or, failing their taking them, to the public, payable 2s. 6d. on application, 2s. 6d. on allotment, and the balance as may be required. Calls not to exceed 1s. per share per month.

(2.) That the said Liquidator be and he is hereby authorized to consent to the registration of a new company with a Memorandum and Articles of Association which have already been prepared with the privity and approval of the directors of the company.

(3.) That the draft agreement submitted to this meeting and expressed to be made between this company and its Liquidator, of the one part, and the South New Brighton Land Company (Limited), of the other part, be and the same is hereby approved; and that the said Liquidator be and is hereby authorized, pursuant to section 259 of the Companies Act, 1908, to enter into an agreement with such new company (when incorporated) in terms of the said draft, and to carry the same into effect with such (if any) modifications as he may think expedient.

UPPER ASHBURTON ROAD DISTRICT.

NOTICE OF INTENTION TO TAKE LANDS FOR GRAVEL-PITS.

NOTICE is hereby given that the Upper Ashburton Road Board proposes, under the provisions of the Public Works Act, 1908, to execute certain public works—to wit, the construction of gravel-pits—in the Upper Ashburton Road District; and for the purposes of such public works the lands described in the Schedule hereto are required to be taken. A plan of the said lands is deposited at the dwelling-house of Mr. John Davison, 99 Walnut Avenue, Allenton, and is there open for inspection. And notice is further given that all persons affected by the execution of the said public works or by the taking of such lands shall, if they have any well-grounded objections to the execution of the said public works or to the taking of such lands, set forth the same in writing, and send such writing, within forty days from the first publication of this notice, to the Upper Ashburton Road Board, West Street, Ashburton.

THE SCHEDULE.

  1. All that piece of land situated in Block III of the Westerfield Survey District, in the Provincial District of Canterbury, containing one acre or thereabouts, being part of Rural Section 11111, and being lot marked 1 on the said plan.

  2. All that piece of land situated in Block VIII of the said Survey District, containing one acre or thereabouts, being part of Rural Section 34164, and being lot marked 2 on the said plan.

The said lands are distinguished on the said plan by a red colour.
