NOTICE is hereby given, pursuant to section 223 of the Companies Act, 1908, that at an extraordinary general meeting of the members of the above-named company, duly convened and held at 106 Victoria Arcade, Queen Street, Auckland, in the Provincial District of Auckland, on Friday, the 4th October, 1912, at 2 p.m., the following resolutions were passed :-

“1. That it is proved to the satisfaction of the company that it cannot, by reason of its liabilities, continue its business, and that it is advisable to go into voluntary liquidation, and that same be wound up accordingly.

“2. That STANLEY G. CHAMBERS be and is hereby appointed Liquidator of the company.”

MANCHESTER BROS. AND GOLDSMITH.

NOTICE is hereby given that at an extraordinary general meeting of the above-named company duly convened and held at Waimate on the 21st day of September, 1912, the following special resolution was passed; and at a subsequent extraordinary general meeting of the said company held at Waimate on the 10th day of October, 1912, the said resolution was duly confirmed, viz. :-

“1. That the arrangement submitted for the approval of the shareholders for the purpose of effecting a transfer of the business of the company under section 259 of the Companies Act, 1908, being the arrangement comprised in an agreement for the sale and purchase of the business, goodwill, and stock-in-trade of the whole business of the company, and all or part of the plant of the company, to the Canterbury Farmers’ Co-operative Association (Limited), including the freehold and leasehold property of the company at Waihao Downs and Morven, and its interest in its business premises at Waimate; or, in the alternative, for the sale and purchase of its Waihao Downs and Morven freehold and leasehold properties, the goodwill, stock-in-trade of the whole business of the company, and all or part of its plant, and the leasing to the said Association of the Waimate business premises, the full terms of which agreement are set out in an agreement which has been approved by the directors of the respective companies and by the solicitors for the respective parties, and has been submitted to the meeting, be and the same is hereby adopted.

“2. That the company be wound up voluntarily under the provisions of the Companies Act, 1908, and that JOHN WILLIAM MANCHESTER be hereby appointed Liquidator for the purpose of such winding-up, with power to enter into the proposed arrangement for the transfer of the business of the company.”

TUBELESS MILKING-MACHINE COMPANY (LIMITED), (IN LIQUIDATION).

AT an extraordinary general meeting of the above company held in the registered office, Customs Street, Auckland, on Friday, the 11th October, at 4 p.m., a resolution that the company goes into voluntary liquidation, which had been passed at the previous general meeting held on Friday, the 27th September, was duly confirmed.

Mr. H. S. EASTGATE was appointed Liquidator, with full powers to deal with the assets and liabilities of the company.

NOTICE is hereby given, in pursuance of section 230 of the Companies Act, 1908, that a general meeting of the members of the above-named company will be held at the office of Messieurs Sainsbury, Logan, and Williams, Solicitors, Tennyson Street, Napier, on Thursday, the 7th day of November, 1912, at 11 o’clock in the forenoon, for the purpose of having an account laid before them showing the manner in which the winding-up has been conducted and the property of the company disposed of, and of hearing any explanation that may be given by the Liquidators; and also of determining by extraordinary resolution the manner in which the books, accounts, and documents of the company and of the Liquidators thereof shall be disposed of.

NOTICE is hereby given that the Partnership lately subsisting between us, the undersigned, MARY SMITH and EUPHEMIA RODGER, carrying on business as Drapers at 125 King Edward Street, South Dunedin, under the style or firm of “Smith and Rodger,” has this day been dissolved by mutual consent; and that the said EUPHEMIA RODGER has this day entered into partnership with ELIZABETH INGLIS SMITH, and that they will carry on business as Drapers at 125 King Edward Street, South Dunedin, under the present style or firm of “Smith and Rodger.” All debts due to or owing by the said late firm will be received and paid by the firm of SMITH AND RODGER.

NOTICE OF INTENTION TO TAKE LAND.

PUBLIC notice is hereby given that, under the provisions of the Public Works Act, 1908, and the Counties Act, 1908, the Horowhenua County Council proposes to take, for the purposes of a public road, the lands described in the Schedule hereto. And notice is hereby given that a plan of the lands so required to be taken is deposited in the office of the undersigned at Levin, and is open for inspection without fee by all persons during ordinary office hours.

All persons affected by the taking of such lands, who have any well-grounded objections thereto, must state their objections in writing, and send the same, within forty days from the first publication of this notice, to the County Clerk, Levin.
