NOTICE OF SPECIAL RESOLUTION TO WIND UP.
In the matter of the Companies Act, 1908, and the Mining Companies Act, 1908; and in the matter of the New Welcome Gold-mining Company (Limited).
At an extraordinary general meeting of the above-named company duly convened and held at Stevenson’s Hotel, Reefton, on the 9th day of April, 1912, at 8 o’clock, the following special resolutions were duly passed; and at a subsequent extraordinary general meeting of the above-named company duly convened and held at Stevenson’s Hotel on 24th April, 1912, at 8 o’clock, the following resolutions were duly confirmed, viz. :
To consider, and, if thought fit, to confirm, the following special resolutions passed unanimously at the extraordinary general meeting of the shareholders held the 9th day of April, 1912, as follows :—

That it is desirable to reconstruct the company, and, accordingly, that the company be wound-up voluntarily; and that John Dick and Joseph Gardiner be and are hereby appointed Liquidators for the purpose of such winding-up (such company being herein termed the “old company”).

That the Liquidator is hereby authorized to consent to the incorporation of a new company, and to assign to any new company all the mining privileges and property of the old company, subject to provision being made by him for the payment of all debts and liabilities of the old company.

That the shares of the present financial shareholders on the register be received by the said Liquidators, if possible, as full compensation for the transfer or sale by the old company to any new company, and such shares (contributing and paid up) to be treated alike as preference shares in the new company, or shall do anything deemed advisable for the best interest of the old company.
That Messrs. John Dick and Joseph Gardiner were appointed Liquidators, and that their remuneration be £12.

THE PHOENIX GOLD-MINING COMPANY (LIMITED).
Notice is hereby given that the following extraordinary resolution of the above-named company was passed on the 3rd day of May, 1912 :—
“That whereas the Directors have ascertained that the company cannot, by reason of its debts, carry on the business, it is advisable to wind up the same; and that Henry Wakeford Wilding, of Auckland, Public Accountant, be and he is hereby appointed Liquidator for the purposes of such winding-up.”
