NOTICE is hereby given that the parcel of land hereinafter described will be brought under the provisions of “The Land Transfer Act, 1908,” unless caveat be lodged forbidding the same within one calendar month from the date of the Gazette containing this notice.

MINING NOTICE.
THE KIRIKIRI MINES (LIMITED).
NOTICE is hereby given that at an extraordinary general meeting of the above-named company, held at the office of the company, Swanson Street, in the City of Auckland, on the 26th day of July, 1909, the following special resolutions were passed; and at a subsequent extraordinary general meeting of the said company, held at the office of the company aforesaid, on the 23rd day of August, 1909, the said resolutions were duly confirmed, viz.:—
- That the whole of the company’s business and property be transferred to a new company, to be incorporated and registered under “The Companies Act, 1908,” and to be called the “Kirikiri Consolidated Mines (Limited),” (hereinafter referred to as “the new company”), having a nominal capital of £15,000, divided into 150,000 shares of 2s. each, upon the condition that the shares in such new company shall be disposed of in the following way, that is to say:—
(a.) By allotting the following shares in the new company to such of the shareholders of this company whose names appear upon the Register of Shareholders of this company at 4 p.m. on the day of the registration of the new company within seven days of such time, and who shall pay on such application the sum of 1d. for every share so applied for, pro rata to the number of shares then held by them in this company, that is to say,—
(i.) 84,350 shares in the new company, in respect of which the sum of 1s. per share shall be treated as paid up, and the balance of 11d. per share shall be payable in calls of not less than 1d. per share at intervals of not less than one calendar month, as and when required; and
(ii.) 65,650 shares in the new company, in respect of which the sum of 1s. per share shall be treated as paid up, upon the conditions that the applicants pay in respect of each share the sum of 1d. on application, and the balance of 11d. per share to be payable in calls as aforesaid.
(b.) Any shares in the new company which shall not be applied for by the shareholders shall be dealt with upon such terms and conditions as the directors of the new company shall think fit.

That the new company shall pay, satisfy, and discharge all the debts, liabilities, and obligations of the old company.

That the company be wound up voluntarily under the provisions of “The Companies Act, 1908”; and that John Stevenson, of Auckland, Accountant, be and he is hereby appointed Liquidator for the purpose of such winding-up, with power to enter into the proposed arrangement for the transfer of the business and property of the company.
