In the matter of “The Companies Act, 1903”; and in the matter of the Stella Cycle and Motor Manufacturing and General Importing Company (Limited).
NOTICE is hereby given that the following extraordinary resolution was passed unanimously by the members present in person or by proxy at a general meeting of the shareholders of the company held at the Social Hall, Temuka, on Wednesday, the 16th day of September, 1908, of which meeting notice was duly given in accordance with the regulations of the company stating the intention to propose such resolution, viz.:
“That it has been proved to the satisfaction of the shareholders that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily; and that WILLIAM JEFFRIES, of Temuka, Accountant, be and he is hereby appointed Chief Liquidator for the purpose of such winding-up; and that E. W. PIDGEON, Cycle Merchant, of Christchurch, be appointed to assist on behalf of the creditors.”

THE NATIONAL ELECTRICAL AND ENGINEERING COMPANY (LIMITED),
(a Private Company incorporated under “The Companies Act, 1903”).
NOTICE is hereby given that the following entry, operating as a special resolution of the company in pursuance of subsection (6) of section 168 of “The Companies Act, 1903,” was made on the 29th day of October, 1907, in the minute-book of he company, and signed by all the members thereof:

That it is desirable to reconstruct the company, and accordingly that the company be wound up voluntarily, and that KEITH STUART RAMSAY, of Dunedin, Shipping Agent, and EUSTACE WILLIAM ACKLAND, of Dunedin, Electrical Engineer, be and they are hereby appointed Liquidators for the purposes of such winding-up.

That the said Liquidators be and they are hereby authorised to consent to the registration of a new company, to be named the National Electrical and Engineering Company (Limited), with a memorandum and articles of association, which have already been prepared with the privity and approval of the directors of this company, and with a nominal capital of £10,000, divided into 10,000 shares of £1 each.

That the draft agreement submitted to this meeting and expressed to be made between this company and its Liquidators of the one part, and the National Electrical and Engineering Company (Limited) of the other part, be and the same is hereby approved, and that the Liquidators be and they are hereby authorised, pursuant to section 259 of “The Companies Act, 1903,” to enter into an agreement with such new company (when incorporated) in terms of the said draft, and to carry the same into effect, with such (if any) modifications as they think expedient.
Notice is also hereby given that, in pursuance of section 230 of “The Companies Act, 1903,” a General Meeting of the above-mentioned private company, the National Electrical and Engineering Company (Limited), (in liquidation), will be held at 47 Crawford Street, Dunedin, on Monday, the 12th day of October, 1908, at 3 p.m., for the purpose of having laid before the meeting the account of the Liquidators showing the manner in which the winding-up has been conducted and the property of the company disposed of, and of hearing an explanation thereof given by the Liquidators. The company will be asked to declare by extraordinary resolution how the books, accounts, and documents of the company, and the Liquidators, are to be disposed of.
