NOTICE is hereby given, in pursuance of section 307 of “The Companies Act, 1903,” that the Westinghouse Brake Company (Limited), a company incorporated in Great Britain, will after the expiration of three months from the publication of this notice in the New Zealand Gazette cease to carry on business in the Colony of New Zealand.

NOTICE is hereby given, in pursuance of section 302 of “The Companies Act, 1903,” that the office or place of business of the Royal Insurance Company (Limited) for the Wellington District is situate at the offices of Messrs. THE SCANDINAVIAN WATER-RACE COMPANY (REGISTERED).

NOTICE is hereby given that at an extraordinary general meeting of the above-named company, duly convened, and held at Dunedin on the 17th day of September, 1907, the subjoined special resolutions were duly passed; and at a subsequent extraordinary general meeting of the said company, also duly convened, and held at St. Bathan’s on the 17th day of October, 1907, the said resolutions were confirmed:—

RESOLUTIONS.

  1. That a new company, to be called the Scandinavian Water-race Company (Limited), be formed, under “The Companies Act, 1903,” having a capital of £18,000, divided into 18,000 shares of £1 each, for the purpose of purchasing and carrying on the business and undertaking of the Scandinavian Water-race Company (Registered), the consideration for such purchase being—

(a.) The allotment and issue to the members of the selling company of fully paid-up shares in the new company of equivalent value to the shares held by them in the selling company;

(b.) The undertaking by the new company to pay, or satisfy, discharge, and perform, all the debts and liabilities, contracts, obligations, and engagements of the selling company.

  1. That the company be wound up voluntarily, and that Neil Nicolson, of St. Bathan’s, Company Manager, be and he is hereby appointed Liquidator for the purpose of such winding-up, with power to enter into the proposed arrangement for the transfer of the business of the company.

In the matter of “The Companies Act, 1903”; and in the matter of the Queensland Insurance Company (Limited).

NOTICE is hereby given that the name of the North Queensland Insurance Company (Limited) has been changed to the “QUEENSLAND INSURANCE COMPANY (LIMITED),” which company is duly incorporated in New South Wales and carries on business in New Zealand. The head office or place of business of the company in New Zealand will remain as heretofore at Hunter Street, in the City of Wellington.

The company is now carrying on the business of ACCIDENT INSURANCE in addition to the fire and marine insurance business as hitherto carried on.

NOTICE is hereby given that the Partnership which existed between us for three months, from the 8th August, 1906, to 8th December, 1906, was dissolved by mutual consent on 8th December, 1906.

In the matter of the Smethurst Patent Marine Steering and Speed-controlling Company (Limited) (a Private Company).

NOTICE is hereby given that the following entry has been made in the minute-book of the above company, viz.—

“Resolved, That the Smethurst Patent Marine Steering and Speed-controlling Company be wound up voluntarily, and that L. W. HARLEY, of Christchurch, be appointed Liquidator.

“Dated this 18th day of October, 1907”—

and has been signed by more than three-fourths of the members of the company, holding in the aggregate more than three-fourths of the shares in the capital of the company.

DISSOLUTION OF PARTNERSHIP.

NOTICE is hereby given that the Partnership hitherto subsisting between the undersigned, JOHN MITCHELL CRAIGIE and JOHN THOMPSON, in the business of Boot and Shoe Manufacturers, carried on by them at No. 71½ Athol Place, Dunedin, under the style of “Craigie and Thompson,” has been dissolved by mutual consent as from the 16th day of October instant.

The business of the partnership has been purchased by the said John Mitchell Craigie, who will continue the same, and who will pay the debts and liabilities of the late firm.

All accounts owing to the said partnership are to be paid to the said John Mitchell Craigie.

Dated at Dunedin, this 19th day of October, 1907.

BOROUGH OF NEW PLYMOUTH.

ABATTOIR EXTENSION LOAN—£1,750.

I, EDWARD DOCKRILL, Mayor of the Borough of New Plymouth, do hereby certify that the New Plymouth Borough Council has, by special order made on the 23rd day of September, 1907, and confirmed on the 23rd day of October, 1907, duly authorised the raising of a sum of £1,750 by way of special loan, for the purpose of an extension of the abattoir, under the provision of section 5 of “The Slaughtering and Inspection Act, 1900.”
