hereby rescinded, except in so far as regards the past or future issue of the said new shares or any of them, as to which it is hereby confirmed.
(d.) That said resolution Number 3 and the acquisition of the option pursuant thereto be and the same are hereby confirmed.
II. Resolved, That the existing capital of the company—viz., £6,000, divided into 6,000 shares of £1 each—be reduced to £4,000, divided into 4,000 shares of £1 each, and that such reduction be effected by wholly cancelling the 2,000 paid-up shares, numbered respectively as follows:—

III. Resolved, That the capital of the company, which upon reduction pursuant to the company’s resolution in that behalf will be £4,000, divided into 4,000 shares of £1 each, be now increased by the creation of 2,000 new shares of £1 each, so that on the said reduction taking effect the nominal capital of the company will be £6,000, divided into 6,000 shares of £1 each.
IV. Resolved, That of the said 2,000 new shares now created by Resolution III. 400 be forthwith offered to the public for subscription as contributing shares, and the remaining 1,600 be allotted and issued to the said D. J. Bews or his nominees as fully paid-up shares in part payment for his interest in the said agreement for option.
V. Resolved, That the amount of each new share already or hereafter issued by the company otherwise than as a fully paid-up share shall be paid as follows, that is to say, by payment of an instalment of two shillings and sixpence on application for the same, of a further instalment of two shillings and sixpence on allotment thereof, and of three further instalments of five shillings each within one, two, and three calendar months respectively from the date of allotment; and each applicant to whom a new share has been or shall be allotted shall pay all such sums accordingly to the Secretary of the company at its registered office, Princes Street, Dunedin, any existing regulation of the company to the contrary notwithstanding.

I, Charles Rhodes, of Auckland, the Attorney of the Waitekauri Gold-mining Company (Limited), do solemnly and sincerely declare that this is a true and complete statement of the affairs of the said company as on the 31st day of May, 1900, being the date of the last balance-sheet; and I make this solemn declaration conscientiously believing the same to be true, and by virtue of “The Justices of the Peace Act, 1882.”
