NOTICE is hereby given that statements of accounts and balance-sheets in respect of the under-mentioned estates, together with the report of the Audit Office thereon, have been duly filed in the above Court; and I hereby further give notice that at the sitting of the said Court to be held on Tuesday, the 21st day of November, 1899, I intend to apply for an order releasing me from the administration of the said estates.

Mining Notices.

I, THE undersigned, hereby make application to register the Jubilee Gold-mining Company (Limited) as a limited company under the provisions of “The Mining Companies Act, 1894.”

  1. The name of the company is to be the Jubilee Gold-mining Company (Limited).
  2. The place of operations is at Top Valley, Wairau, Marlborough.
  3. The registered office of the company will be situated at the office of C. D. Morpeth, Customhouse Quay, Wellington.
  4. The nominal capital of the company is three thousand six hundred pounds, in three thousand six hundred shares of one pound each.
  5. The number of shares subscribed for is two thousand four hundred.
  6. The number of paid-up shares is one thousand two hundred.

THE MORNING STAR GOLD-MINING COMPANY (NO LIABILITY).


NOTICE OF INCREASE OF CAPITAL.

NOTICE is hereby given that at an extraordinary general meeting, held on the 18th day of September instant, the following resolutions for the increase of capital were passed by a majority of more than two-thirds in number and value of the shareholders of the company, present in person or by proxy, viz.:—

  1. That the capital of the company shall be increased to £42,000, in 42,000 shares of £1 each—of which the present holders of A shares retain 12,000 fully paid up—by the issue of 18,000 new shares, to be preference shares fully paid up to £1, for the price or sum of 2s. 6d. per share, to be paid as follows—3d. per share deposit, with offer to purchase; 3d. per share on acceptance of offer by company; and 3d. per share at 1, 2, 3, 4, 5, 6, 7, and 8 months respectively, after date of acceptance of offer—and that the company also sell 6,000 of the forfeited shares as fully paid-up preference shares of £1 each for the sum of 2s. 6d. each, payable in manner aforesaid. The whole of these 24,000 preference shares shall be entitled to receive dividends to the extent of 2s. 6d. per share before any dividends be paid on other shares.

  2. That the present shareholders of B and C shares who shall have paid all calls, including the sixteenth call of 4d., shall be entitled to apply for preference shares at the said price of 2s. 6d. per share, and to be credited with the amount of the last call of 4d. towards payment of the purchase-money of such preference shares.

  3. That the Directors be empowered at their discretion to accept offers for the whole 24,000 preference shares, or any less number, not being less than 17,000, for which they may receive offers at aforesaid price of 2s. 6d. per share, or at such higher price as they may deem desirable, and that no offer to purchase shares be accepted after one month from date hereof without the sanction of a general meeting.
