(3.) Do, commit, or suffer any act which would entitle
any creditor or other person to take any proceed-
ings to have the company wound up in accordance
with any law for the time being in force relating
to registered companies; or suffer or obtain an
order of some Court of competent jurisdiction, or
procure or allow to be passed a special or extra-
ordinary resolution for the winding-up of the said
company, or suffer a distress or execution to be
respectively levied or sued out, upon, or against
the property of the company in New Zealand; or
(4.) Fail to pay the sums specified in clause three of
these conditions,

then and in either of the said cases this Order in Council,
and every license, right, power, or privilege, may be revoked
and determined by the Governor in Council without any
notice to the company or other proceeding whatsoever; and
publication in the New Zealand Gazette of an Order in
Council containing such revocation shall be sufficient notice
to the company, and to all persons concerned or interested,
that this Order in Council, and the license, rights, and privi-
leges thereby granted and conferred, have been revoked and
determined.

  1. The erection of the wharves, or either of them, shall
    be deemed to be an acceptance by the company of the con-
    ditions of this Order in Council.

Exchange of Land in Southland.

GLASGOW, Governor.
ORDER IN COUNCIL.

At the Government Buildings, at Wellington, this twenty-
fifth day of January, 1896.

Present:
The Honourable R. J. Seddon presiding in Council.

WHEREAS the land mentioned in the first column of
the Schedule hereto was reserved for a gravel-pit:
And whereas, in the opinion of the Governor, it is expedient
to exchange the said land for that mentioned in the second
column of the Schedule hereto:
Now, therefore, His Excellency the Governor of the
Colony of New Zealand, in exercise of the powers conferred
by "The Public Reserves Act Amendment Act, 1889," and
of all other powers and authorities enabling him in this
behalf, and acting by and with the advice and consent of
the Executive Council of the said colony, doth hereby de-
clare that, from and after the day of the date hereof, the
said reserve mentioned in the first column of the Schedule
hereto shall be exchanged for the land mentioned in the
second column of the Schedule hereto.

Regulations under "The Factories Act, 1894."

ORDER IN COUNCIL.

At Dunedin, this third day of February, 1896.

His Excellency the Governor in Council.

IN exercise of the power conferred upon him by "The
Factories Act, 1894," and of all other powers and au-
thorities him enabling in this behalf, His Excellency the
Governor, acting by and with the advice and consent of the
Executive Council of the Colony of New Zealand, doth
hereby revoke the table of fees prescribed by regulations
under "The Factories Act, 1891," made by Order in Council
on the twenty-fourth day of December, one thousand eight
hundred and ninety-one, and published in the Gazette of the
31st idem, and in lieu thereof doth hereby substitute the
table of fees set forth in the Schedule hereto, and doth
hereby declare that the fees in the said table shall be the
fees to be taken and received per annum as from the first
day of January, one thousand eight hundred and ninety-six,
for the registration of factories and workrooms, and shall be
paid each year to an Inspector of Factories and Workrooms
for the district in which the factory or workroom is situate.

Conferring Jurisdiction on Native Land Court.

GLASGOW, Governor.
ORDER IN COUNCIL.

At Dunedin, this third day of February, 1896.

Present:
His Excellency the Governor in Council.

WHEREAS by section fourteen of "The Native Land
Court Act, 1894," it is enacted that the Native Land
Court shall, as regards all lands within the meaning of sub-
section ten of section fourteen aforesaid, have jurisdiction
as in the said subsection mentioned: Provided that the
Court shall not proceed to exercise such jurisdiction unless
the Governor in Council shall by order authorise the same
to be done:
And whereas the land specified in the Schedule hereto is
land in respect whereof the Court has jurisdiction as afore-
said, and it is expedient that the Court should be authorised
to exercise the same:
Now, therefore, His Excellency the Governor of the
Colony of New Zealand, by and with the advice and con-
sent of the Executive Council of the said colony, doth hereby
authorise the said Court to exercise in respect of the said
land the jurisdiction conferred as aforesaid—that is to say:
To determine whether or not the said land or any part thereof
was, on the investigation of title thereto, intended by the
Native Land Court or by the nominal owner or owners of
such land to be held by such nominal owner or owners in
trust for Natives not named in the title, and to determine
who are the Natives (if any) entitled beneficially to such
land, and to order the inclusion of such Natives in the title
either together with or in lieu of the nominal owners or any
of them, and, for the purpose aforesaid, to order the cancel-
lation or amendment of any existing instrument of title, and
the issue of such new Crown grants or other instruments of
title as may be necessary, and generally to exercise in respect
of the said land all the jurisdiction and powers conferred on
the Native Land Court by subsection ten of section fourteen
of "The Native Land Court Act, 1894."

SCHEDULE.

All that parcel of land, containing 6,556 acres 1 rood 29
perches, situate in the Kaipara District, in the Provincial
District of Auckland, part of Opanake No. 1, being the
whole of the land comprised in Land Transfer certificate,
Vol. lxxv., folio 94.
