In the matter of "The Companies Act, 1882," and the
several Acts amending the same; and in the matter of
the McKenzie's Beach Dredging Company (Limited).
I, WILLIAM BURTON, of Roxburgh, in the Provincial Dis-
trict of Otago, Accountant and Secretary of the above-
named company, do solemnly and sincerely declare as
follows, that is to say:—
- That an extraordinary general meeting of the McKen-
zie's Beach Dredging Company (Limited) was duly held on
the 27th day of July, 1896, at the Goldfields Hotel, at Rox-
burgh aforesaid. - That the resolution mentioned in the annexed notice,
marked "A," was duly passed at such meeting. - That Jabez Burton, of Roxburgh, was duly appointed
chairman of the said meeting. - That I was present, and saw the said Jabez Burton
sign the said notice hereto annexed, and that the signature
set and subscribed to the said notice is of his proper
handwriting; and I make this solemn declaration con-
scientiously believing the same to be true, and by virtue of
the provisions of "The Justices of the Peace Act, 1882."

of the Peace for the Colony of New Zealand.

In the matter of "The Companies Act, 1882," and the
several Acts amending the same; and in the matter of
the McKenzie's Beach Dredging Company (Limited).
A T an extraordinary general meeting of the members of
the above-named company, duly convened, and held at
the Goldfields Hotel, at Roxburgh, in the Provincial District
of Otago, on the 27th day of July, 1896, the following extra-
ordinary resolution was passed:—
"That it has been proved to the satisfaction of this meet-
ing that the company cannot, by reason of its liabilities,
continue its business, and that it is advisable to wind up the
same, and accordingly that the company be wound up
voluntarily under the provisions of 'The Companies Act,
1882'; and that Jabez Burton be appointed Liquidator for
the purpose of such winding-up; and that his remuneration
be at the rate of 5 per cent. on all moneys collected on
behalf of the company."

THE ROCK AND PILLAR GOLD-DREDGING
COMPANY (LIMITED).
A T an extraordinary general meeting of the above-named
company, duly convened, and held on the 17th day of
July, 1896, the subjoined extraordinary resolution was duly
passed: "That it has been proved to the satisfaction of this
meeting that the company cannot by reason of its liabilities
continue its business, and that it is advisable to wind up the
same, and accordingly that the company be wound up
voluntarily, and that a Liquidator be appointed for the
purpose of such winding-up." And at the same meeting
CHARLES STEPHEN REEVES, of Dunedin, Accountant, was
appointed Liquidator for the purpose of such winding-up.
