Notice of Proposed Amalgamation

Company Nos.: 159245, 163919, 165915

Pursuant to section 221(4) of the Companies Act 1993 ("Act"), the boards of directors of H M WINLOVE LIMITED, VANWIN FINANCE LIMITED and WINLOVES APPLIANCES LIMITED give notice that they propose to amalgamate in accordance with section 220 of the Act, with the resulting company being H M WINLOVE LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom either amalgamating company is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Any shareholder or creditor of either amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of the amalgamating companies at 127 Ruataniwha Street, Waipukurau.

The amalgamation will take effect on 29 April 2016.

Public Notice of Intention to Remove Company From the Register

Pursuant to Section 320(2) of the Companies Act 1993

Notice is hereby given that, pursuant to section 318(1)(e) of the Companies Act 1993, it is intended to apply to the Registrar of Companies for the removal of TASMAN EXTRACTS LIMITED (in liquidation), whose registered office is situated at 168 Broadway Avenue, Palmerston North, from the New Zealand Register on the grounds that the documents referred to in section 257(1)(a) of the Companies Act 1993 have been sent to the Registrar of Companies, thereby completing the liquidation pursuant to section 249 of the Act.

Unless written objection to the removal, pursuant to section 321 of the Act, is delivered to the Registrar by Tuesday 26 April 2016, the Registrar may remove the company from the Register.
