Public Notice of Appointment of Liquidators

The Companies Act 1993 (“Act”)

SCARLETT LIMITED was demerged into two separate entities, TILT RENEWABLES LIMITED and TRUSTPOWER LIMITED (formerly Bay Energy Limited), on 1 November 2016 (“demerger”).

As a result of the demerger on 1 November 2016 it was resolved by special resolution, pursuant to section 241(2)(b) of the Act, that SCARLETT LIMITED be liquidated and that Andrew Grenfell and William Black, chartered accountants of Auckland, be appointed jointly and severally as liquidators.

The directors have resolved that SCARLETT LIMITED will be able to pay its debts. The liquidation will therefore proceed on a solvent basis. Pursuant to section 243(8) of the Act, a copy of the resolution has been delivered to the Registrar of Companies.

The solvent liquidation commenced on 1 November 2016 at 8.00am.
