Public Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4)(b) of the Companies Act 1993, that the boards of directors of FABER GLASSHOUSES (NEW ZEALAND) LIMITED and EJ CONTRACTORS LIMITED ("the amalgamating companies") have resolved to amalgamate and a new amalgamated company "APEX GREENHOUSES (NZ) LIMITED" shall be incorporated as a result of the amalgamation.

The date of the proposed amalgamation is 1 July 2015.

All rights, obligations and liabilities owing by or to the amalgamating companies will upon amalgamation be transferred to the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the company or any person to whom the company is under an obligation at 6 Hosking Place, Waiuku, Auckland, during normal business hours.

Any shareholder or creditor of the company or any person to whom the company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
