Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993

The boards of directors of OPUHA WATER LIMITED, SCFIS LIMITED, SCFIS HOLDINGS LIMITED, LEVELS PLAIN IRRIGATION CO. LIMITED, LEVELS PLAIN HOLDINGS LIMITED and LEVELS IRRIGATION LIMITED (each an amalgamating company) give notice that each amalgamating company proposes to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of the shareholders of each amalgamating company by special resolution to be put to separate meetings of shareholders of each amalgamating company on 25 June 2014.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will continue take effect on 1 July 2014 and SCFIS LIMITED will continue as the amalgamated company and change its name to “OPUHA WATER LIMITED”.
