1. The liquidator does not consider that a meeting of creditors should be called for the purpose specified in section 243(1)[(a)][(b)] of the Companies Act 1993.

2. That all creditors were paid up to the date of the resolution and that the board acknowledges that the company is solvent and has the ability to pay its debts.
