Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993 ("the Act")

Notice is given that, pursuant to Part XIII of the Act, the companies propose to amalgamate with EAST CARE LIMITED continuing as the amalgamated company, unless, pursuant to section 226 of the Act, written application is made to the Court that such amalgamation would be unfairly prejudicial, before the date on which the amalgamation becomes effective, namely 31 October 2014.

A shareholder or creditor of either company, or any person to whom either company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either company or any person to whom either company is under an obligation, at the registered offices of the companies at 260 Botany Road, Howick, Auckland (Attention: The CEO), during normal business hours.
