The boards of STAHLS GRAPHIX LIMITED and NIMBUS TRADING 2007 LIMITED (each an “amalgamating company”) give notice of the proposed amalgamation of those companies, with STAHLS GRAPHIX LIMITED continuing as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of each amalgamating company detailed below during normal business hours.

Pursuant to Section 221(4)(b) of the Companies Act 1993

It is proposed that SEAFOOD NEW ZEALAND LIMITED amalgamate with THE NEW ZEALAND SEAFOOD INDUSTRY COUNCIL LIMITED in accordance with Part XIII of the Companies Act 1993 (“the amalgamation proposal”).

Upon amalgamation, SEAFOOD NEW ZEALAND LIMITED will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the companies or any person to whom the companies are under an obligation at the registered offices of the companies, being:
