Public Notice of Proposed Amalgamation

Pursuant to Section 221(4) of the Companies Act 1993

The boards of directors of HEALTHY SOILS (AMALGAMATION VEHICLE) LIMITED (a wholly owned subsidiary of Healthy Soils Limited) (“Amalgamation Vehicle”), FOLIAFEED FERTILISER LIMITED (“Foliafeed”), HUMATECH LIMITED (“Humatech”) and HEALTHY SOILS 2010 LIMITED (“HS 2010”) give notice that Amalgamation Vehicle, Foliafeed, Humatech and HS 2010 propose to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of the shareholders of each of the amalgamating companies by special resolution to be put to meetings of the shareholders of each of the amalgamating companies on 1 November 2013.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will take effect as soon as possible after 15 November 2013 and Amalgamation Vehicle will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the amalgamating companies or any person to whom any of the amalgamating companies are under an obligation at the registered offices of Healthy Soils Limited during normal business hours.

Any shareholder or creditor of any of the amalgamating companies or any person to whom amalgamating companies is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of that amalgamating company (detailed below).

The boards of directors of AEROCOOL LIMITED (“Aerocool”) and APATA LIMITED (“Apata”) give notice that Aerocool and Apata propose to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of shareholders of Aerocool by special resolution and the approval of shareholders of Apata by special resolution which will be put to separate meetings of shareholders of Aerocool and shareholders of Apata on 6 November 2013.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will take effect on 30 November 2013 and Aerocool will continue as the amalgamated company, under the name Apata Group Limited.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Aerocool or Apata or by any person to whom either Aerocool or Apata are under an obligation, at the registered offices of Aerocool or Apata (detailed below) during normal business hours.
