Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993

The boards of directors of the amalgamating companies hereby give notice of a proposal to amalgamate the amalgamating companies, effective 31 December 2011 (or the date of delivery of all necessary documents to the Registrar of Companies for registration, whichever is the later), to become one company, being TAN RETAIL REALTY LIMITED.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies during normal business hours.

A shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

The registered office for both amalgamating companies is care of Nobilo & Co Limited, Unit 5, 36 William Pickering Drive, Rosedale, Auckland 0632.
