Public Notice of Proposed Amalgamation

Pursuant to Section 221(4) of the Companies Act 1993

The boards of directors of SEEKA TE PUKE LIMITED (Company No.: 3652671) (a wholly owned subsidiary of Seeka Kiwifruit Industries Limited) (“Seeka”) and SATARA CO-OPERATIVE GROUP LIMITED (Company No.: 192134) (“Satara”) give notice that Seeka and Satara propose to amalgamate pursuant to an amalgamation proposal prepared under section 220 of the Companies Act 1993.

The amalgamation is subject to conditions specified in the amalgamation proposal including the approval of the shareholders of Satara by special resolution to be put to a meeting of Satara shareholders on 2 December 2011.

If all of the conditions of the amalgamation proposal are satisfied or waived in accordance with its terms, the amalgamation will take effect on 1 January 2012 and Seeka will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of Seeka or Satara or any person to whom either Seeka or Satara are under an obligation at the registered offices of Seeka or Satara during normal business hours.

Any shareholder or creditor of either Seeka or Satara or any person to whom Seeka or Satara is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to the registered office of that amalgamating company, detailed below.
