Public Notice of Proposed Amalgamation

Notice is hereby given, pursuant to section 221(4) of the Companies Act 1993, that the boards of directors of POPPING GREAT LIMITED and POP’N’GOOD HOLDINGS LIMITED (“the amalgamating companies”) have resolved to amalgamate, with POPPING GREAT LIMITED becoming the amalgamated (continuing) company.

Further, all rights, obligations and liabilities owing by or to the amalgamating companies will upon amalgamation become those of the amalgamated company.

The date of the proposed amalgamation is 30 November 2011 (being not less than 20 working days from the date of this notice).

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation at the registered offices of the amalgamating companies during normal business hours.

Any shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.

The registered office for each amalgamating company is:

Land Transfer Act Notice

The owner of land adjoining the bank of the Matakitaki River in the Tasman District has applied to me to bring the dry bed of the Matakitaki River under the provisions of the Land Transfer Act 1952 and issue Computer Freehold Registers for it in its name.

Land Registration District: Nelson.

Application: 8877278.1.

Applicant: Daryl Bradley (Murchison) Limited, Four River Plain, Murchison.

Land Applied For: 3.4360 hectares, more or less, subject to survey, being part of the former bed of the Matakitaki River adjoining Lot 1 DP 380362 comprised in Computer Freehold Register 321855 and Section 27 Square 170 Block I Tutaki Survey District comprised in Computer Freehold Register NL72/189 in the District of Tasman.

I hereby give notice of my intention to bring the land applied for under the provisions of the Land Transfer Act 1952 and issue a title for it in the name of the applicant unless a caveat forbidding the same is lodged on or before 2 December 2011.
