Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993

The boards of BELLS PRODUCE LIMITED and BELLS ENTERPRISES LIMITED (each an amalgamating company) give notice of a proposed amalgamation under which these two companies will amalgamate with each other on and with effect from 1 September 2011 and BELLS PRODUCE LIMITED will continue as the amalgamated company, on terms set out in the amalgamation proposal.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of each amalgamating company, detailed below, during normal business hours.

Any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation may object to the amalgamation by delivering a written objection to the board of the amalgamating company not less than 5 working days before the date on which the amalgamation is to become effective.
