Notice of Watershed Meeting of Creditors

Section 239AU(1)(b) of the Companies Act 1993

Notice is hereby given that the watershed meeting of the creditors of the above-named companies will be held on Wednesday 9 June 2010, commencing at 11.00am, at the Rosanna Room of the Intercontinental Hotel, 2 Grey Street, Wellington.

The purpose of the meeting is:

1. to review the administrator’s report in connection with the business, property, affairs and financial circumstances of each of the above-named companies together with any other material information; and

2. for the creditors of the company to vote on resolutions on the following matters:

   • (a) Whether the company execute a Deed of Company Arrangement;
   • (b) whether the administration should end; or
   • (c) whether the company be placed into liquidation.

Administrator’s Report

Pursuant to section 239AU of the Companies Act 1993 (as amended), the administrator’s report for each company has been sent to all known creditors. This includes:

A. the administrator’s report on the business, property, affairs and financial circumstances of the company;

B. the administrator’s statement setting out the administrator’s opinion on each of the matters in item 2 above; and

C. a statement outlining the details of any proposed Deed of Company Arrangement.
