Notice of Appointment of Liquidator

Subsequent to the directors of the companies filing resolutions at the Companies Office, pursuant to section 243(8) of the Companies Act 1993 (“the Act”), stating that on appointment of a liquidator the companies would be able to pay their debts, Victoria Toon, chartered accountant of Auckland, was appointed as sole liquidator of the companies by special resolutions of the shareholders on 30 March 2010 at the times stated below:

• KAWAU GROUP LIMITED (in liquidation) at 10.00am.
• SPECIAL MANAGED INVESTMENT COMPANY NO. 100 LIMITED (in liquidation) at 10.30am.

Notice to Creditors to Claim

Notice is given that as liquidator of the companies, I fix 23 April 2010 as the day on or before which the creditors of the companies are to make their claims and to establish any priority their claims may have, under section 312 of the Act, or to be excluded from the benefit of any distribution made before the debts are claimed or, as the case may be, from objecting to the distribution.

The above-named solvent companies were placed into liquidation by special resolutions of shareholders dated the 30th day of March 2010 at 10.00am, as part of ongoing rationalisation of company structures no longer serving any useful purpose.

Notice of Appointment of Liquidators

Gareth Russel Hoole and Kevin David Pitfield were appointed joint and several liquidators pursuant to section 241(2)(a) of the Companies Act 1993.

Notice of Meetings of Creditors

Pursuant to section 243(8) of the Companies Act, the liquidators do not intend calling creditors’ meetings on the basis that the companies are all solvent with no known external creditors, the directors having passed resolutions to that effect.

However, should any creditor require that a meeting be convened please inform the liquidators of that request, in writing, by 16 April 2010.
