Notwithstanding the terms of any other agreement between you and us, this
Confirmation supplements, forms part of, and is subject to the ISDA Master Agreement
dated on or about [●] 2010 between Party A and Party B ("Master Agreement").
All provisions contained in the Master Agreement govern this Confirmation except as
expressly modified below. A reference to Party A in this Confirmation is a reference to
Genesis Power Limited and a reference to Party B is to Meridian Energy Limited. This
document is a Confirmation for the purposes of the Master Agreement and the Virtual
Asset Swap Head Agreement dated on or about [●] 2010 between Party A and Party B
("Head Agreement").
The purpose of this document is to confirm the terms and conditions of the Transaction
entered into between us on the Trade Date specified below ("Transaction").
The Trade Date for this Transaction is 1 January [●].
The Term is from the Effective Date of 00:00 hours on the first day of January [●] to the
Termination Date of 24:00 hours on the last day of December [●].
Notional Quantity: 17.1MW.
For the purposes of this Transaction:
Party A is the Floating Price Payer.
Party B is the Fixed Price Payer.
The Fixed Price is, in respect of each megawatt hour in each Calculation Period, NZ$[#]
per MWh.
The Transaction will be settled in cash in accordance with the Master Agreement.
