Notice of Proposed Amalgamation
Pursuant to Section 221(4)(b) of the Companies Act 1993
Notice is hereby given that the boards of directors SMITH BROS. TRADING PROPERTIES LIMITED and SBT INVESTMENTS LIMITED (being “the amalgamating companies”) have resolved to amalgamate those two companies and continue as SMITH BROS. TRADING PROPERTIES LIMITED (“the amalgamated company”).
Upon amalgamation, all rights, obligations and liabilities owing by or to either of the amalgamating companies will vest in the amalgamated company.
The proposed date of amalgamation is 1 October 2010.
Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered office of each amalgamating company, being 325 South Road, Hawera.
A shareholder or creditor of an amalgamating company or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
