Public Notice of Proposed Amalgamation

Pursuant to Section 221(4)(b) of the Companies Act 1993

The boards of OLYMPUS PACIFIC MINERALS NZ LIMITED and ZEDEX MINERALS LIMITED (each an amalgamating company) give notice of the proposed amalgamation of those companies.

OLYMPUS PACIFIC MINERALS NZ LIMITED will continue as the amalgamated entity and ZEDEX MINERALS LIMITED will cease to exist if the amalgamation takes effect.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of each amalgamating company detailed below during normal business hours.

Any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal by writing to the registered office of that amalgamating company, detailed below, requesting a copy.

Public Notice of Amalgamation Proposal

Pursuant to Section 221(4)(b) of the Companies Act 1993 ("the Act")

Notice is given, pursuant to Part XIII of the Companies Act 1993, of a proposed amalgamation under which L’OREAL NEW ZEALAND LIMITED and YSL BEAUTE (NZ) LIMITED will amalgamate with each other on and with effect from 31 December 2009, and L’OREAL NEW ZEALAND LIMITED will continue as the amalgamated company unless, pursuant to section 226 of the Act, written application is made to the Court that such amalgamation would be unfairly prejudicial, before the date on which the amalgamation becomes effective.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of either company, or any person to whom either company is under an obligation, at the registered offices of the companies, which is:

A shareholder or creditor of either company, or any person to whom either company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to either company.
