Under Part II of the Partnership Act 1908, and in the matter of TRI Management Limited and Company:

It is hereby certified, pursuant to section 51 of the Partnership Act 1908, that:

1. The name of the Special Partnership is TRI Management Limited and Company.

2. The names, addresses, occupations and capital contributions of the General Partner and Special Partner are set out in the Schedule.

3. The objects of the partnership are:

   (a) to establish and carry on in Auckland and elsewhere the zoo business set forth in the Schedule, and to undertake and carry out all other things which, in the opinion of the General Partner and the Special Partners, may be conveniently or profitably undertaken by the partnership, whether or not such things shall be similar in nature to the above object (the “partnership business”);

   (b) to engage in any other business or activity which, in the opinion of the General Partner and the Special Partners, may be conveniently or profitably undertaken by the partnership of whatsoever nature; and

   (c) to acquire, own, expand, develop, maintain, lease, take on hire, operate or hold for trade, with investments, manage, exchange, mortgage, sell or otherwise deal with or dispose of any real, personal, movable and immovable property of any description as well as tangible and intangible and without limiting the generality of the foregoing legal and equitable choses in action, policies of assurance or endowment, cash, any active assets of a goodwill of any business or part thereof.

4. The principal place from which the partnership business will be conducted is the registered office of the General Partner.

5. The partnership shall commence upon registration of this certificate, pursuant to section 54 of the Partnership Act 1908, and, subject to the provisions in this deed of participation relating to earlier dissolution, shall terminate upon the expiry of seven years from the date of registration of this certificate.

Public Notice of Amalgamation Proposal

Pursuant to Section 221(4)(b) of the Companies Act 1993

Notice is given that the companies propose to amalgamate upon the date on which all necessary documents are filed with the Registrar of Companies and a certificate of amalgamation is issued by the Registrar of Companies.

Tasman Food Corporation Limited is to continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of any of the companies or any person to whom any of the companies are under an obligation, at the registered offices of the companies during normal business hours.

A shareholder or creditor of any of the companies, or any person to whom any company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to any of the companies.
