Notice is hereby given that the watershed meeting of the creditors of the company will be held on Tuesday, 18 March 2008 at 11.00am, at Gaze Burt – Lawyers, Level 1, 44 Corinthian Drive, Albany, Auckland.

Registration for all creditors will open at 10.20am and close at 10.50am, with the meeting commencing at 11.00am.

Agenda

The purpose of the meeting is:

(a) to review the administrators’ report in connection with the business, property, affairs and financial circumstances of the company; and

(b) for the creditors of the company to resolve that:
(i) the company execute a deed of company arrangement (DOCA); or
(ii) the administration end; or
(iii) the company be placed into liquidation.

(c) Any other business properly brought before the meeting.

Administrators Report and DOCA

Pursuant to section 239AU of the Companies Amendment Act 2006, the administrators’ report and DOCA has been sent to all known creditors. This includes:

(a) the administrator’s comments on the business, property, affairs and financial circumstances of the company; and

(b) the statement setting out the administrator’s opinion as to whether it is in the company’s creditor’s interests for:
(i) the company to execute the DOCA; or
(ii) the administration to end; or
(iii) the company be placed into liquidation.
