Under Part II of the Partnership Act 1908, and in the matter of KAF Services Limited and Company (operating as a dentistry business):

It is hereby certified, pursuant to section 51 of the Partnership Act 1908, that:

1. The name of the Special Partnership is KAF Services Limited and Company.

2. The names, addresses, occupations and capital contributions of the General Partner and Special Partner are set out in the Schedule.

3. The objects of the partnership are:

   (a) to establish and carry on in Auckland and elsewhere the dentistry business set forth in the Schedule, and to undertake and carry out all other things which, in the opinion of the General Partner and the Special Partners, may be conveniently or profitably undertaken by the partnership, whether or not such things shall be similar in nature to the above object (the "partnership business");

   (b) to engage in any other business or activity which, in the opinion of the General Partner and the Special Partners, may be conveniently or profitably undertaken by the partnership of whatsoever nature;

   (c) to acquire, own, expand, develop, maintain, lease, take on hire, operate or hold for trade, with investments, manage, exchange, mortgage, sell or otherwise deal with or dispose of any real, personal, movable and immovable property of any description as well as tangible and intangible and without limiting the generality of the foregoing legal and equitable choses in action, policies of assurance or endowment, cash,

   any active assets of a goodwill of any business or part thereof.

4. The principal place from which the partnership business will be conducted is the registered office of the General Partner.

5. The partnership shall commence upon registration of this certificate, pursuant to section 54 of the Partnership Act 1908 and, subject to the provisions in this deed of participation relating to earlier dissolution, shall terminate upon the expiry of seven years from the date of registration of this certificate.

Notice of Intention to Correct Register

I intend to rectify the New Zealand Register of companies and the Overseas Register, in terms of section 360A(1)(a) of the Companies Act 1993, on the application of the following companies by removing duplicate documents, deleting or replacing incorrect documents and, where applicable, entering new share totals or otherwise adjusting the Register.
