On 15 February 2008, it was resolved by special resolution
of the shareholders, pursuant to section 241(2)(a) of the
Companies Act 1993, that Orewa Health Care Center
Limited (in liquidation) be liquidated and that Robert Foster,
chartered accountant of Auckland, be appointed liquidator
for the purpose.

A certificate of solvency, pursuant to section 243(8) of the
Companies Act 1993, has been completed by the directors.
The liquidation commenced on 15 February 2008 at 2.00pm.
