Notice of Proposed Amalgamation
Notice is hereby given, pursuant to section 221(4) of the Companies Act 1993, that:

The boards of directors of Voyager Holdings Limited and Money Mart Direct (South Island) Limited (being “the amalgamating companies”) have resolved to amalgamate and continue as Voyager Holdings Limited (“the amalgamated company”).

Further, all rights accruing to and all obligations and liabilities owing by either of the amalgamating companies will, upon amalgamation, become vested in the amalgamated company.

The date the proposed amalgamation is intended to become effective is 30 September 2008 (being not less than 20 working days from the date of this notice).

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, at the registered offices of the amalgamating companies during normal business hours.

Any shareholder or creditor of an amalgamating company, or any person to whom an amalgamating company is under an obligation, is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request to an amalgamating company.
