Notice in Respect of an Amalgamation Proposal

Pursuant to Section 221(4)(b) of the Companies Act 1993

It is proposed that NPF (Equities) Limited (“the company”) amalgamate with NPF (Overseas Equities) Limited in accordance with section 221(1) of the Companies Act 1993 (“the amalgamation proposal”).

Upon amalgamation, the company will continue as the amalgamated company.

Copies of the amalgamation proposal are available for inspection by any shareholder or creditor of the company or any person to whom the company is under an obligation at the current registered offices, being Level 12, The Todd Building, 95 Customhouse Quay, Wellington.

Any shareholder of the company, any creditor of the company or any person to whom the company is under an obligation is entitled to be supplied free of charge with a copy of the amalgamation proposal upon request at the registered office stated above.

Application having been made to me, pursuant to section 121(1) of the Land Transfer Act 1952, by Proprietors of Wakatu to notify upon the Register the re-entry and recovery of possession of the leasehold premises under lease 324541.1 of Lot 1 DP 4117, being part of the land in Computer Freehold Register NL113/169 of which the lessor is Proprietors of Wakatu and the lessee is Esther Van Maanen.

Notice is hereby given of my intention to register the application 7124172.1 and to notify the re-entry upon the Register on 24 September 2007.

Notice of Claim

This notice is pursuant to section 101(2) of the Public Trust Act 2001.

To all creditors and claimants of Volco Engineering Limited (a company that ceased trading in September 2001 and was deregistered on 2 December 2003):

The sum of $6,806.00 has been paid to Public Trust to hold in the name of the deregistered company.

A claim has been lodged on behalf of the various shareholders of Volco Engineering Limited.

Public Trust proposes paying the amount of the claim, less associated costs, to the company shareholders, subject to no notice of a claim being received on or prior to 20 September 2007.

Any persons having any interest in priority to the claimant must submit a claim to Public Trust, PO Box 13245, Tauranga (Attention: Ken Southam) on or prior to the above-mentioned date.

Note: This is the first and only notice of this claim.
