Certificate of Dissolution of Special Partnership

Pursuant to Part II of the Partnership Act 1908

We, the undersigned, do hereby certify that we did on
20 December 2005, enter into a deed of transfer and accession
(“deed”) with the Special Partnership which was created on
12 August 2005* under the style of “Koch Investments AG
and Company” (“partnership”) which partnership consisted
of Koch Investments AG of Baarerstrasse 8, 6301 Zurich,
Switzerland, as a General Partner and Koch Worldwide
Investments (Luxembourg) S.à.r.l. at 231 Val des Bons
Malades L-2121, Luxembourg-Kirchberg, Luxembourg, as a
Special Partner and KIG (Bermuda) L.P. at c/o Attride-
Stirling & Woloneiki, Crawford House, 50 Cedar Avenue,
Hamilton HM11, Bermuda, as a Special Partner.

Pursuant to the deed, the General Partner and the Special
Partners transferred their respective interests in the
partnership to us and for this reason the partnership was
dissolved by operation of law on entry into the deed.
